This Purchase Order is issued by Guangzhou BioInnovations Research Institute Co., Ltd. (hereinafter referred to as the "Purchaser") to engage the services of a qualified Biologist (hereinafter referred to as the "Biologist") for the purpose of conducting advanced biological research, laboratory analysis, and scientific consulting within the city of Guangzhou, China. The Biologist shall provide specialized expertise in molecular biology, ecological assessment, and biotechnological development as outlined in the line items below. All services rendered under this Purchase Order shall be performed in compliance with the regulations of the National Health Commission of the People's Republic of China and the local environmental and laboratory safety standards enforced by the Guangzhou Municipal Government.

1. Commencement and Duration: The Biologist shall commence all services under this Purchase Order no later than July 1, 2025, at the designated laboratory and field sites within Guangzhou, China. The engagement period shall span a total of six (6) months, with the possibility of extension by mutual written agreement of both parties.
2. Payment Terms: Payment shall be made in three (3) equal installments of CNY 134,000.00 each. The first installment is due upon execution of this Purchase Order, the second upon completion of the third month of Biologist services, and the final installment upon successful delivery and acceptance of all deliverables. Payments shall be transferred via bank wire to the account designated by the Biologist in accordance with Chinese foreign exchange regulations.
3. Compliance with Chinese Law: The Biologist acknowledges and agrees to comply with all applicable laws and regulations of the People's Republic of China, including but not limited to the Laboratory Biosafety Management Regulations, the Environmental Protection Law of the PRC, and the specific operational guidelines issued by the Guangzhou Municipal Health Commission. The Biologist shall maintain all necessary professional licenses and permits valid for practice in Guangzhou, Guangdong Province.
4. Intellectual Property: All research findings, data sets, patents, and proprietary knowledge generated by the Biologist during the course of this Purchase Order shall be the exclusive property of the Purchaser. The Biologist shall execute any additional intellectual property assignment documents as reasonably requested by the Purchaser.
5. Confidentiality: The Biologist shall maintain strict confidentiality regarding all proprietary information, trade secrets, and unpublished research data of the Purchaser. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Biologist shall be compensated for all services rendered up to the date of termination, and all work-in-progress materials shall be handed over to the Purchaser at the Guangzhou facility.
7. Governing Law and Dispute Resolution: This Purchase Order shall be governed by the laws of the People's Republic of China. Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration at the China International Economic and Trade Arbitration Commission (CIETAC) in Guangzhou, in accordance with its then-current arbitration rules.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting operations in Guangzhou, China.
