This Purchase Order is issued by Shanghai BioInnovations Research Institute Co., Ltd. (hereinafter referred to as the "Purchaser") to engage the services of a qualified Biologist (hereinafter referred to as the "Service Provider") for the execution of specialized biological research, laboratory analysis, and scientific consulting activities to be conducted at the Purchaser's primary research facility located in China Shanghai, specifically within the Pudong New Area Biotechnology Park. The Biologist shall provide full-time professional services for a contract period of twelve (12) months, commencing on 1 August 2025 and concluding on 31 July 2026, unless otherwise extended by mutual written agreement.

1. Governing Law: This Purchase Order and all associated services shall be governed by and construed in accordance with the Civil Code of the People's Republic of China and the applicable labor and professional regulations of the Shanghai Municipal People's Government. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Shanghai International Arbitration Center (SHIAC) in China Shanghai.
2. Biologist Qualifications: The Service Provider must maintain valid professional registration as a Biologist with the Shanghai Municipal Health Commission throughout the entire contract period. The Purchaser reserves the right to request updated certification documents upon reasonable notice. Failure to maintain valid credentials shall constitute a material breach of this Purchase Order.
3. Work Location: All services under this Purchase Order shall be performed at the Purchaser's research facility located at 888 Century Avenue, Pudong New Area, China Shanghai, unless otherwise agreed in writing. The Biologist is expected to be physically present at the China Shanghai site a minimum of five (5) days per week during standard business hours (08:30–17:30, Monday through Friday).
4. Intellectual Property: All research findings, data, publications, patents, and proprietary knowledge generated by the Biologist in the course of performing services under this Purchase Order shall be the sole and exclusive property of Shanghai BioInnovations Research Institute Co., Ltd. The Biologist shall execute all necessary assignment documents as required by the Purchaser.
5. Confidentiality: The Biologist shall maintain strict confidentiality regarding all proprietary information, trade secrets, unpublished research data, and client information encountered during the performance of services in China Shanghai. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
6. Payment Schedule: Payment shall be made in monthly installments via bank transfer to the account designated by the Biologist. Invoices must be submitted by the 5th of each month for services rendered in the preceding month. Payment shall be processed within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate of 0.05% per day as stipulated under PRC commercial law.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. The Purchaser may terminate immediately for cause, including but not limited to: gross negligence by the Biologist, loss of professional licensure, violation of biosafety regulations in China Shanghai, or material breach of confidentiality obligations.
8. Insurance and Liability: The Biologist shall maintain professional indemnity insurance with a minimum coverage of CNY 2,000,000 for the duration of this Purchase Order. The Purchaser shall provide workplace accident insurance in compliance with the Social Insurance Law of the People's Republic of China.
9. Compliance with Local Regulations: The Biologist shall comply with all applicable laws and regulations of the People's Republic of China, including but not limited to the Biosafety Law, the Regulations on the Administration of Human Genetic Resources, and all Shanghai municipal ordinances pertaining to biological research facilities. The Biologist shall cooperate fully with inspections by the Shanghai Municipal Commission of Science and Technology.
10. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in China Shanghai, or public health emergencies, provided that the affected party gives prompt written notice.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of Biologist professional services in China Shanghai. This document constitutes a binding agreement between the Purchaser and the Service Provider effective from the date of the last signature.
