- This Purchase Order (PO-CBRI-2025-00472) constitutes a binding agreement between Congo BioResearch Institute (CBRI) and the named Biologist vendor for the provision of ecological research services in DR Congo Kinshasa.
- The Biologist shall commence all fieldwork and laboratory activities no later than 01 August 2025 and shall complete all deliverables by 31 July 2026, unless otherwise extended in writing by both parties.
- All work under this Purchase Order shall be conducted in full compliance with the laws of the Democratic Republic of Congo, including but not limited to the Environmental Protection Act, the Wildlife Conservation Code, and the Ministry of Higher Education professional regulations governing the practice of a Biologist in DR Congo Kinshasa.
- Payment shall be made in United States Dollars (USD) via bank transfer to the account specified above. Invoices shall be submitted monthly within ten (10) business days of the end of each calendar month. Payment terms are Net 30 days from receipt of a valid invoice.
- The Biologist is required to maintain professional liability insurance with a minimum coverage of USD 250,000 for the duration of this Purchase Order, valid in DR Congo Kinshasa and all surrounding operational zones.
- All data, specimens, and intellectual property generated under this Purchase Order shall be the sole property of CBRI. The Biologist may publish findings only with prior written consent from the CBRI Director of Research.
- Any modification, amendment, or cancellation of this Purchase Order must be executed in writing and signed by both parties. Verbal agreements shall not be enforceable.
- In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through mediation in Kinshasa, DR Congo. If mediation fails, the matter shall be referred to the competent commercial court of Kinshasa, DR Congo Kinshasa.
- The Biologist shall comply with all health and safety protocols established by CBRI and the DR Congo Ministry of Health, particularly regarding fieldwork in tropical and riverine environments around Kinshasa.
- This Purchase Order is valid for a period of 90 days from the date of issue. If not accepted and signed by the Biologist within this period, it shall automatically lapse and require reissuance.
