This Purchase Order is issued by Medina Scientific Research Institute to formally engage the services of a qualified Biologist for a comprehensive coastal biodiversity assessment project to be conducted in the waters and shoreline areas of Egypt Alexandria. The Biologist shall provide the following professional services and deliverables as outlined below:

  1. Scope of Work: The Biologist shall perform all duties strictly within the geographic boundaries of Alexandria, Egypt, including but not limited to the Mediterranean coastline, the two natural harbors (East and West), and the adjacent wetland areas. All fieldwork must comply with Egyptian environmental regulations and the Alexandria Governorate's marine protection ordinances.
  2. Timeline: The Biologist must commence fieldwork no later than 01 August 2025 and complete all deliverables, including the final report and board presentation, by 30 September 2025. Any delay beyond this period without written approval from Medina SRI management shall incur a penalty of 1.5% of the total Purchase Order value per calendar day of delay.
  3. Payment Terms: Payment shall be made in three (3) installments: 30% upon signing of this Purchase Order, 40% upon submission of the draft biodiversity report, and the remaining 30% upon final acceptance of all deliverables by the institute's review committee in Alexandria. All payments shall be processed via bank transfer to the Biologist's registered account with a licensed Egyptian bank.
  4. Quality Standards: All biological data, laboratory analyses, and written reports must adhere to the standards set by the Egyptian National Agency for Quality Control and the International Union for Conservation of Nature (IUCN) guidelines. The Biologist warrants that all species identifications are accurate to the species level and supported by appropriate voucher specimens or molecular evidence.
  5. Intellectual Property: All data, reports, photographs, and biological samples generated under this Purchase Order shall become the exclusive property of Medina Scientific Research Institute. The Biologist retains the right to publish peer-reviewed academic papers based on the findings, subject to a 90-day prior written notice to the institute and inclusion of appropriate acknowledgment.
  6. Insurance and Liability: The Biologist shall maintain comprehensive professional liability insurance with a minimum coverage of EGP 5,000,000, valid throughout the project duration in Egypt. The Biologist assumes full responsibility for any damage to marine habitats or environmental harm caused by negligence during fieldwork in Alexandria waters.
  7. Compliance with Egyptian Law: This Purchase Order is governed by the laws of the Arab Republic of Egypt. Any disputes arising from this agreement shall be resolved through the competent courts of Alexandria, Egypt. Both parties agree to comply with all applicable Egyptian labor, environmental, and commercial regulations.
  8. Termination: Either party may terminate this Purchase Order with a written notice of fourteen (14) calendar days. In the event of termination by Medina SRI for cause (material breach, failure to meet quality standards, or non-compliance with Egyptian regulations), no further payment shall be due beyond the value of services already rendered and accepted.
  9. Confidentiality: The Biologist agrees to maintain strict confidentiality regarding all proprietary research data, unpublished findings, and internal communications of Medina SRI. This obligation survives the termination of this Purchase Order for a period of five (5) years.
  10. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to acts of God, government actions, natural disasters, or other events beyond reasonable control, provided that the affected party notifies the other in writing within 48 hours of the occurrence.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. The Biologist confirms availability to perform all services in Alexandria, Egypt, within the stipulated timeline. Medina Scientific Research Institute confirms its commitment to timely payment in accordance with the schedule outlined in Section 3, Clause 3.
