- This Purchase Order constitutes a binding agreement between the Buyer and the Biologist upon signature by both parties. All services shall be rendered at the PMRI facility in France Marseille unless otherwise specified in writing.
- The Biologist shall comply with all applicable French labor laws, including the Code du Travail, as well as the specific regulations governing biological research and environmental sampling within the Provence-Alpes-Côte d'Azur region.
- Payment shall be made via bank transfer to the account designated by the Biologist within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate of 1.5% per month as stipulated by French commercial law.
- The Biologist shall maintain professional liability insurance with a minimum coverage of €500,000 for the duration of this Purchase Order. A certificate of insurance shall be provided prior to the commencement of services.
- All data, specimens, and intellectual property generated during the course of this engagement shall remain the exclusive property of the Provence Marine Research Institute. The Biologist shall sign a non-disclosure agreement (NDA) as a condition of this Purchase Order.
- The Buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice in the event of material breach, failure to meet performance benchmarks, or force majeure circumstances affecting operations in France Marseille.
- Any disputes arising from this Purchase Order shall be resolved through the competent courts of Marseille, France, in accordance with French civil and commercial law.
- This Purchase Order may be amended only by mutual written consent of both parties. Verbal modifications shall hold no legal validity.
The Biologist shall report to the PMRI laboratory at 12 Quai de Rive Neuve, 13007 Marseille, France, on 1 September 2025 at 08:30 CET for the initial onboarding and orientation. All fieldwork equipment, laboratory access credentials, and project documentation shall be made available on the first day of engagement. The Biologist is expected to submit a preliminary work plan within the first two weeks of the contract period, outlining the sampling schedule, specimen handling protocols, and anticipated deliverables for the first quarter.
