This Purchase Order is issued by HelixGenomics Research Institute GmbH to engage the services of a qualified Biologist, Dr. Anke Hoffmann, for the execution of specialized biological research, laboratory analysis, and scientific consulting within the Germany Berlin metropolitan area. The Biologist shall perform all duties in accordance with the German Research Data Act (Forschungsdatengesetz), the Federal Data Protection Act (BDSG), and all applicable regulations of the Berlin State Ministry of Science, Research and Culture (Senatsverwaltung für Wissenschaft, Forschung und Kultur).

1. This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Germany Berlin.
2. The Biologist shall maintain full professional liability insurance (Berufshaftpflichtversicherung) with a minimum coverage of €5,000,000 for the duration of the engagement. Proof of insurance must be provided prior to commencement of work.
3. All work performed under this Purchase Order shall be conducted at the HelixGenomics facility located in Germany Berlin, unless otherwise agreed in writing by both parties.
4. The Biologist agrees to comply with all data protection requirements under the GDPR (EU) 2016/679 and the German Federal Data Protection Act (BDSG) when handling any biological samples, genetic data, or personal information.
5. Payment shall be made via bank transfer to the IBAN specified in Section 1 within thirty (30) calendar days of receipt of a valid invoice referencing this Purchase Order number (PO-2025-BIO-0487).
6. The Biologist warrants that all deliverables, including reports, analyses, and documentation, shall be original work free from intellectual property infringement. All intellectual property created under this Purchase Order shall vest in HelixGenomics Research Institute GmbH.
7. Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of early termination, the Biologist shall be compensated for all work completed and documented up to the date of termination.
8. All biological materials, reagents, and equipment delivered to the Germany Berlin laboratory site shall be stored in accordance with the German Chemicals Act (Chemikaliengesetz) and institutional biosafety protocols.
9. This Purchase Order constitutes the entire agreement between the parties regarding the services described herein and supersedes all prior negotiations, representations, or agreements.

All services and deliverables under this Purchase Order shall be accepted by the Head of Procurement at HelixGenomics Research Institute GmbH, Germany Berlin, within ten (10) business days of submission. Failure to issue a written objection within this period shall constitute acceptance. The Biologist shall submit a final comprehensive report upon completion of all line items, which shall include a detailed methodology log, raw data sets, and a summary of findings relevant to the Berlin-Genome-2025 research initiative.
