The Biologist shall perform all duties and responsibilities at the Buyer's primary research facility located in Munich, Germany, specifically at the address listed above. The Biologist engaged under this Purchase Order must hold a minimum of a Master's degree in Biology, Molecular Biology, or a closely related discipline from an accredited institution in Germany or the European Union. A doctoral degree (Dr. rer. nat.) is preferred but not mandatory. The Biologist must demonstrate a minimum of five (5) years of post-graduate professional experience in a laboratory or field research environment. Fluency in German (C1 level or above) and English (C2 level) is required, as all documentation, reporting, and inter-departmental communication within the Munich facility shall be conducted in both languages.

- Commencement and Duration: The services of the Biologist shall commence on 01 July 2025 and shall continue for a period of twelve (12) months, subject to mutual renewal. All work shall be performed at the Buyer's facility in Munich, Germany, unless prior written approval is granted for remote or field-based activities within Bavaria.
- Payment Terms: Invoices shall be submitted monthly in arrears. Payment shall be made via SEPA bank transfer within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the statutory rate under Section 288 of the German Civil Code (BGB).
- Compliance and Regulation: The Biologist shall adhere to all applicable laws and regulations of the Federal Republic of Germany, the State of Bavaria, and the European Union. This includes compliance with the German Occupational Safety and Health Act (ArbSchG), the German Federal Data Protection Act (BDSG), and the EU General Data Protection Regulation (GDPR) with respect to any personal data processed during the course of employment.
- Intellectual Property: All research findings, publications, patents, and proprietary knowledge generated by the Biologist during the term of this Purchase Order shall be the exclusive property of the Buyer, Helmholtz Advanced Research Institute GmbH, Munich, Germany.
- Termination: Either party may terminate this Purchase Order with a written notice period of sixty (60) days. In the event of material breach, termination may be effected immediately upon written notice. Termination shall not affect any accrued financial obligations.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the competent courts in Munich, Germany.
- Confidentiality: The Biologist shall maintain strict confidentiality regarding all proprietary information, research data, and trade secrets of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
