3. Description of Goods / Services Procured

This Purchase Order is issued by the Accra Environmental Research Institute to formally engage the services of a qualified Biologist for the duration of a twelve-month environmental monitoring and research programme conducted within the Greater Accra Region of Ghana Accra. The Biologist shall be responsible for the following scope of work:

4. Terms and Conditions
  1. Acceptance: This Purchase Order shall become a binding contract upon written acceptance by the Biologist within seven (7) calendar days of the date of issue. Failure to respond within this period shall render this Purchase Order null and void.
  2. Place of Performance: All services described herein shall be performed in and around Ghana Accra, including but not limited to the Densu River basin, the Accra coastal zone, the Tema industrial corridor, and the Kwahu Ridge forest reserve. The Biologist shall bear all travel and transportation costs within the Greater Accra Region.
  3. Payment Terms: Payment shall be made in three (3) equal instalments of GHS 78,276.67 each, payable within thirty (30) days of the end of each four-month period. Payment shall be remitted via bank transfer to the account specified in Section 2. Late payments shall attract interest at the rate of 2% per month as stipulated under Ghanaian commercial law.
  4. Quality and Compliance: The Biologist warrants that all work shall be conducted in accordance with the standards set by the Ghana Standards Authority, the Ghana EPA, and the International Union for Conservation of Nature (IUCN). All fieldwork shall comply with the Wildlife Protection Act, 1973 (Act 130) of Ghana.
  5. Intellectual Property: All reports, data sets, publications, and research outputs generated under this Purchase Order shall be the joint property of the Accra Environmental Research Institute and the Biologist. Neither party shall publish or distribute findings without the prior written consent of the other.
  6. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Biologist shall be compensated for all services rendered up to the date of termination, less any outstanding deliverables.
  7. Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to mediation in Accra, Ghana. If mediation fails, the matter shall be referred to the courts of competent jurisdiction in Ghana Accra in accordance with the laws of the Republic of Ghana.
  8. Insurance: The Biologist shall maintain professional indemnity insurance with a minimum coverage of GHS 500,000 for the entire duration of this Purchase Order and shall provide a certificate of insurance upon request.
  9. Confidentiality: The Biologist agrees to treat all proprietary data, internal reports, and sensitive ecological information obtained during the course of this engagement as strictly confidential and shall not disclose such information to any third party without written authorization from the Purchasing Entity.
  10. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Ghana, including the Contracts Act, 1960 (Act 25) and all applicable regulations of the Ghana Accra municipal authority.
5. Delivery and Commencement

The Biologist shall commence all duties no later than 1 July 2025. The first deliverable (aquatic biodiversity survey report) shall be submitted to the Purchasing Entity by 30 September 2025. All subsequent monthly reports shall be delivered by the fifth (5th) business day of the following month. The final publication and project close-out report shall be delivered by 30 June 2026.
