Payment shall be made in monthly installments via NEFT/RTGS to the bank account designated by the Biologist. The first installment shall be due within 15 days of the commencement date. Subsequent payments shall be processed by the 5th of each following month. All payments are subject to submission of a valid tax invoice and a monthly progress report signed by the Biologist. The total contract value of this Purchase Order is subject to the applicable Goods and Services Tax (GST) as per the prevailing Indian tax regulations. TDS (Tax Deducted at Source) shall be deducted at the rate of 10% as per Section 194J of the Income Tax Act, 1961, applicable to professional fees paid in India Mumbai.
- Commencement and Duration: This Purchase Order shall become effective on 1 July 2025 and shall remain valid for a period of six (6) months, i.e., until 31 December 2025, unless extended by mutual written consent of both parties.
- Work Location: The Biologist shall render services primarily at the Genomics Research & Development Pvt. Ltd. facility located in India Mumbai, Maharashtra. The Biologist is expected to be present at the India Mumbai laboratory for a minimum of 45 hours per week.
- Intellectual Property: All research findings, protocols, data sets, and publications generated during the term of this Purchase Order shall be the exclusive intellectual property of Genomics Research & Development Pvt. Ltd., India Mumbai. The Biologist shall assign all rights, title, and interest therein to the company.
- Confidentiality: The Biologist shall maintain strict confidentiality regarding all proprietary information, trade secrets, and unpublished research data encountered during the engagement in India Mumbai. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Compliance: The Biologist shall comply with all applicable Indian laws, including the Biological Diversity Act, 2002, the Wildlife Protection Act, 1972, and all regulations issued by the Indian Council of Medical Research (ICMR) and the Department of Biotechnology, Government of India, as applicable to the India Mumbai jurisdiction.
- Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of termination, the Biologist shall be compensated for all services rendered up to the date of termination, less any applicable TDS deductions.
- Dispute Resolution: Any disputes arising out of or in connection with this Purchase Order shall be resolved through arbitration in India Mumbai in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be India Mumbai, and the language of arbitration shall be English.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of India, with specific reference to the commercial and labor regulations applicable in the state of Maharashtra, India Mumbai.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government orders, or public health emergencies affecting the India Mumbai region.
- Entire Agreement: This Purchase Order, together with any annexures and schedules attached hereto, constitutes the entire agreement between the parties with respect to the engagement of the Biologist and supersedes all prior negotiations, representations, and agreements relating to the subject matter hereof.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Biologist in India Mumbai. This document constitutes a binding commercial agreement between the Purchasing Entity and the Service Provider.
