The Biologist shall perform all duties in accordance with the scientific and ethical standards prescribed by the Department of Biotechnology (DBT), Government of India, and the Indian Council of Agricultural Research (ICAR).

1. This Purchase Order constitutes a binding agreement between the Buyer and the Biologist upon signature by both parties. All services shall be rendered at the designated facility in India New Delhi unless otherwise agreed in writing.
2. The Biologist shall maintain all professional certifications, laboratory safety clearances, and ethical research approvals required by the Government of India throughout the duration of this engagement.
3. Payment shall be processed via bank transfer to the account specified by the Biologist within thirty (30) calendar days of receipt of a valid tax invoice at the buyer's office in New Delhi, India. Late payments shall attract interest at 1.5% per month as per the Indian Contract Act, 1872.
4. All intellectual property, research data, and findings generated by the Biologist under this Purchase Order shall remain the exclusive property of Meridian Life Sciences Pvt. Ltd. The Biologist shall sign a Non-Disclosure Agreement (NDA) prior to commencing work.
5. The Biologist is required to submit a detailed weekly progress report every Friday to the Head of Procurement at the New Delhi, India office. Failure to submit reports for two consecutive weeks may result in a 5% deduction from the monthly payment.
6. This Purchase Order is governed by the laws of India. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the competent courts in New Delhi, India.
7. The Biologist shall comply with all applicable environmental, health, and safety regulations as enforced by the Ministry of Environment, Forest and Climate Change, Government of India, particularly those pertaining to biological laboratory operations in the New Delhi metropolitan area.
8. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Biologist shall be compensated for all services rendered up to the date of termination, and all biological samples and research materials shall be returned to the buyer's facility in India New Delhi.
9. The Biologist shall carry professional liability insurance with a minimum coverage of INR 50,00,000, valid throughout the engagement period in India New Delhi.
10. All communications related to this Purchase Order shall be directed to the respective contact persons listed in Section 1. Verbal agreements shall not be considered valid amendments to this document.

All deliverables, including the scientific research report, data sets, and training materials, shall be submitted in both digital (PDF and editable formats) and hard-copy form to the buyer's office at 14, Connaught Place, New Delhi – 110001, India. The buyer shall have fifteen (15) business days from the date of receipt to inspect and accept or reject each deliverable. Rejection must be communicated in writing with specific reasons, and the Biologist shall rectify and resubmit within ten (10) business days at no additional cost.
