1. - 3.1 This Purchase Order constitutes a binding agreement between Nusantara BioSciences Research Institute and the named Biologist for the provision of professional scientific services in Indonesia Jakarta. Both parties acknowledge and accept all terms herein upon signature.
- 3.2 The Biologist shall maintain all necessary professional licenses, certifications, and permits required to practice biological sciences in Indonesia Jakarta, including but not limited to the Indonesian Society of Biologists (PBI) membership and any applicable environmental research permits issued by the Jakarta Provincial Environmental Agency (DLH DKI Jakarta).
- 3.3 The Biologist shall devote a minimum of 40 hours per week to the services outlined in this Purchase Order and shall be physically present at the Indonesia Jakarta research facility no fewer than four (4) days per week, unless otherwise agreed in writing.
- 3.4 Payment shall be made in monthly installments within thirty (30) calendar days of receipt of a valid invoice from the Biologist. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Indonesian commercial law.
- 3.5 The Biologist warrants that all research data, reports, and intellectual property generated under this Purchase Order shall be the sole property of Nusantara BioSciences Research Institute, subject to any pre-existing intellectual property rights of the Biologist.
- 3.6 Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of termination, the Biologist shall be compensated for all services rendered up to the effective date of termination.
- 3.7 All disputes arising from this Purchase Order shall be resolved through arbitration in Indonesia Jakarta in accordance with the rules of the Indonesian National Board of Arbitration (BANI), and shall be governed by the laws of the Republic of Indonesia.
- 3.8 The Biologist shall comply with all data protection regulations applicable in Indonesia Jakarta, including Law No. 27 of 2022 on Personal Data Protection, when handling any personal or sensitive research data.
By signing below, both parties confirm that this Purchase Order for the engagement of a Biologist in Indonesia Jakarta has been reviewed, understood, and accepted in its entirety.
