- Acceptance: This Purchase Order shall become binding upon written acceptance by the Biologist service provider within five (5) business days of the date of issue. The Biologist must confirm availability and capacity to deliver all services within the Baghdad, Iraq operational area.
- Delivery and Performance: All Biologist services shall be rendered on-site in Iraq Baghdad unless otherwise specified. The Biologist is required to submit weekly progress reports to the Procurement Director at the Tigris-Euphrates Environmental Research Institute, Baghdad headquarters.
- Payment Terms: Payment shall be made in Iraqi Dinar (IQD) via bank transfer to the account designated by the Biologist service provider. A 30% advance payment is due upon Purchase Order acceptance. The remaining 70% shall be disbursed in monthly installments upon verified completion of each line item, subject to quality approval by the Institute's Technical Review Committee in Baghdad.
- Quality Standards: The Biologist must adhere to the Iraqi Environmental Protection Authority (EPA-Iraq) guidelines and international ISO 14001 environmental management standards. All field data collected in Iraq Baghdad must be documented using standardized protocols approved by the purchasing party.
- Intellectual Property: All reports, data sets, and findings produced by the Biologist under this Purchase Order shall remain the exclusive property of the Tigris-Euphrates Environmental Research Institute, Baghdad, Iraq. The Biologist shall not publish or disseminate any results without prior written consent.
- Compliance and Licensing: The Biologist must hold a valid Iraqi professional license for biological fieldwork and must comply with all local regulations of the Baghdad municipality and the Federal Ministry of Environment of Iraq. Any permits required for access to protected areas within Iraq Baghdad shall be obtained at the supplier's expense.
- Insurance and Liability: The Biologist service provider shall maintain comprehensive professional liability insurance and personal accident coverage for all personnel operating in Iraq Baghdad throughout the duration of this Purchase Order. Minimum coverage shall be 50,000,000 IQD.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Biologist shall be compensated for all services rendered up to the termination date, as verified by the Institute in Baghdad.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in accordance with the Iraqi Commercial Arbitration Law, with the seat of arbitration in Baghdad, Iraq. The governing law of this Purchase Order shall be the laws of the Republic of Iraq.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, civil unrest in Iraq, or government-imposed restrictions affecting operations in Baghdad.
