Scope of Purchase Order — Biologist Services and EquipmentThis Purchase Order is issued by the Jerusalem Institute for Advanced Biological Research to procure the professional services of a qualified Biologist along with associated laboratory equipment and consumables. - Acceptance: This Purchase Order becomes binding upon written acceptance by the Supplier. The Supplier shall confirm acceptance in writing within five (5) business days of receipt of this document.
- Biologist Qualifications: The Biologist(s) assigned under this Purchase Order must hold a minimum of a Master's degree in Biology or a related life science discipline from an accredited Israeli or internationally recognized university. The Senior Biologist must possess a PhD and a minimum of eight (8) years of post-doctoral research experience. All Biologist personnel must be registered with the Israel Medical Association or the relevant professional body where applicable.
- Location of Work: All on-site services, laboratory work, and field activities under this Purchase Order shall be conducted within the jurisdiction of Israel Jerusalem, including the Old City, the Givat Ram academic district, the Judean Hills, and the Kidron Valley. The Biologist shall comply with all local municipal regulations, security protocols, and heritage site restrictions applicable in Israel Jerusalem.
- Compliance: The Supplier and the Biologist shall adhere to all Israeli laws, including the Protection of Privacy Law 5741-1981, the Israeli Environmental Protection Law, and the regulations of the Israel Ministry of Health regarding biological research and laboratory safety.
- Payment Schedule: Payment shall be made in three installments: 30% upon execution of this Purchase Order, 40% upon completion of 60% of the Biologist's contracted hours, and 30% upon final delivery and acceptance of all deliverables. All payments shall be made via bank transfer to the Supplier's designated account in Israel.
- Intellectual Property: All data, findings, and publications generated by the Biologist during the term of this Purchase Order shall be the sole property of the Jerusalem Institute for Advanced Biological Research. The Biologist shall not publish or disclose any proprietary information without prior written consent.
- Insurance: The Supplier shall maintain comprehensive professional liability insurance and workers' compensation coverage for the Biologist and all support staff at a minimum coverage of ILS 5,000,000 per occurrence throughout the duration of this Purchase Order.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall compensate the Supplier for all services rendered and non-cancellable expenses incurred up to the date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising from this Purchase Order shall be resolved by the competent courts in Israel Jerusalem.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Israel Jerusalem, or public health emergencies.
