- Scope of Engagement: This Purchase Order constitutes a binding agreement for the professional services of the named Biologist. The Biologist shall perform all duties with the diligence, expertise, and scientific rigor expected of a registered professional biologist under Italian law. The Biologist shall not subcontract any portion of the work without prior written consent from the buyer.
- Place of Performance: All services under this Purchase Order shall be executed primarily at the buyer's facility in Italy Milan (Via Paolo Sarpi 21, 20154 Milan). The Biologist may also perform certain tasks remotely or at the Biologist's own office in Milan, provided that all data and biological materials remain within the jurisdiction of Italy Milan and comply with applicable transport regulations.
- Payment Terms: Payment shall be made in monthly installments via bank transfer (bonifico bancario) within 30 days of receipt of a valid invoice from the Biologist's firm. The first installment shall be due upon commencement of services. Late payments shall incur interest at the rate prescribed by Italian law (Legge 296/2006).
- Intellectual Property: All research findings, data, reports, and intellectual property generated by the Biologist in the course of this Purchase Order shall be the exclusive property of Lombardia Biotech Research S.r.l. The Biologist shall sign a non-disclosure agreement (NDA) prior to commencing work.
- Compliance and Liability: The Biologist warrants full compliance with all Italian and EU regulations, including those issued by the Istituto Superiore di Sanità (ISS) and the local ASL (Azienda Sanitaria Locale) of Milan. The Biologist shall maintain professional liability insurance with a minimum coverage of €1,000,000.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Biologist shall be compensated for all services rendered up to the effective date of termination.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by the laws of the Italian Republic. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the Tribunale di Milano (Court of Milan), Italy Milan.
- Confidentiality: The Biologist shall treat all proprietary information, trade secrets, and research data as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
