- Commencement and Duration: The Biologist shall commence services on 1 July 2025 at the Rome laboratory premises. The engagement period is twelve (12) months, renewable by mutual written agreement. All work hours shall be scheduled in accordance with Italian labour regulations (Statuto dei Lavoratori, Law 300/1970).
- Payment Terms: Payment shall be made within thirty (30) days from the date of invoice issuance via bank transfer to the Biologist’s designated Italian bank account (IBAN to be provided). Invoices must reference this Purchase Order number IT-RM-2025-04782 and include the Biologist’s P.IVA and CF for compliance with Italian tax reporting (Fattura Elettronica via SdI).
- Regulatory Compliance: The Biologist warrants that all biological work performed in Rome shall comply with Italian and European Union directives, including Directive 2000/54/EC on the containment of genetically modified microorganisms and the Italian Legislative Decree 334/1999. The Biologist shall maintain a valid registration with the Albo dei Biologi (Section A) throughout the duration of this Purchase Order.
- Health and Safety: In accordance with D.Lgs. 81/2008, the Biologist shall adhere to all site-specific safety plans established by Tiberia Life Sciences S.r.l. in Rome. Personal protective equipment (PPE) shall be provided by the Buyer. The Biologist is required to complete the mandatory Italian occupational health surveillance (sorveglianza sanitaria) prior to commencing laboratory work.
- Intellectual Property: All data, findings, and intellectual property generated by the Biologist in the course of this engagement within the Rome laboratory shall be the exclusive property of Tiberia Life Sciences S.r.l., unless otherwise agreed in a separate written addendum.
- Confidentiality: The Biologist shall maintain strict confidentiality regarding all proprietary research data, patient samples, and trade secrets encountered during the performance of services in Rome. This obligation survives the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days’ written notice. In the event of termination, the Biologist shall be compensated for all services rendered up to the effective date of termination, plus any non-cancellable reagent commitments.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved by the competent courts of Rome (Tribunale di Roma), in accordance with Italian procedural law. The parties agree to attempt mediation before the Camera di Commercio di Roma prior to initiating litigation.
- Data Protection: In compliance with the EU General Data Protection Regulation (GDPR, Regulation 2016/679) and the Italian Data Protection Code (D.Lgs. 196/2003 as amended by D.Lgs. 101/2018), the Biologist shall process any personal data encountered in the Rome laboratory solely for the purposes defined in this Purchase Order.
