This Purchase Order is issued by Tropical Research & Environmental Sciences Ltd. to formally engage the services of a qualified Biologist for the execution of scientific research, laboratory analysis, and environmental fieldwork within the jurisdiction of Ivory Coast Abidjan. The Biologist shall provide specialized expertise in molecular biology, ecological surveying, and biodiversity assessment as detailed in the line items below. All services rendered under this Purchase Order shall be conducted in full compliance with the regulatory framework of the Republic of Côte d'Ivoire and the professional standards governing the practice of biology in Ivory Coast Abidjan.

Payment for the Biologist services outlined in this Purchase Order shall be made in three (3) equal installments via bank transfer to the account designated by the Biologist. The first installment (33.33%) shall be due upon execution of this Purchase Order. The second installment (33.33%) shall be due upon completion of Item No. 02 and submission of the interim field report. The final installment (33.34%) shall be due within fifteen (15) business days of acceptance of the final technical report. All payments shall be denominated in West African CFA Francs (XOF) and processed through a licensed financial institution operating in Ivory Coast Abidjan.
All services under this Purchase Order shall be performed at the following locations within Ivory Coast Abidjan: the TRESC main laboratory at 14 Boulevard de la Paix, Cocody; the coastal sampling stations along the Abidjan lagoon; and the designated tropical forest reserve sites in the greater Abidjan metropolitan area. The Biologist is expected to be physically present in Ivory Coast Abidjan for the entirety of the contracted period unless otherwise agreed in writing by both parties.
- This Purchase Order constitutes a binding agreement between the Buyer and the Biologist upon signature by both authorized representatives.
- The Biologist shall maintain all necessary professional licenses, insurance, and regulatory registrations required to practice biological sciences in Ivory Coast Abidjan for the duration of this engagement.
- All data, samples, and intellectual property generated under this Purchase Order shall remain the exclusive property of Tropical Research & Environmental Sciences Ltd.
- The Biologist shall comply with all environmental protection laws of the Republic of Côte d'Ivoire, including but not limited to the Code de l'Environnement and regulations issued by the Ministry of Environment in Ivory Coast Abidjan.
- Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Biologist shall be compensated for all services rendered up to the date of termination.
- Disputes arising from this Purchase Order shall be resolved through arbitration in Ivory Coast Abidjan in accordance with the rules of the Ivorian Chamber of Commerce.
- The Biologist shall submit weekly progress reports to the Director of Procurement at TRESC, Ivory Coast Abidjan, every Friday by 17:00 local time.
- Any amendments to this Purchase Order must be made in writing and signed by both parties to be considered valid.
This Purchase Order is valid for a period of one hundred and twenty (120) calendar days from the date of issue. If the Biologist does not accept this Purchase Order within the validity period, it shall automatically expire and shall be of no further force or effect. The total contracted period for the Biologist engagement in Ivory Coast Abidjan shall not exceed one hundred and fifty-five (155) calendar days from the commencement date.
