The Biologist engaged under this Purchase Order shall perform all duties within the designated research laboratories located in the Japan Osaka metropolitan area. The scope of work encompasses but is not limited to: the design and execution of controlled biological experiments; the maintenance and calibration of laboratory instrumentation; the preparation of detailed scientific reports for submission to the Japan Osaka research ethics board; the management of biological waste in compliance with Japan Osaka environmental regulations; and the coordination of inter-departmental research initiatives across the Japan Osaka campus. The Biologist must hold a minimum of a Master's degree in Biology, Molecular Biology, or a closely related discipline, and must possess valid professional registration recognized by the Japan Osaka scientific community.
4. Terms and Conditions of This Purchase Order- Acceptance: This Purchase Order shall become binding upon written acceptance by the Supplier. The Supplier must confirm acceptance of all terms within five (5) business days of receipt of this Purchase Order.
- Commencement: All Biologist positions and projects referenced in this Purchase Order shall commence no later than July 1, 2025, at the designated Japan Osaka facility. Failure to meet this commencement date shall constitute a material breach of this Purchase Order.
- Compliance: The Biologist must adhere to all applicable laws and regulations governing biological research in Japan Osaka, including but not limited to the Act on the Safety of Bioresources, the Japan Osaka City Environmental Protection Ordinance, and institutional biosafety level (BSL) requirements.
- Confidentiality: All data, specimens, research findings, and proprietary methodologies encountered by the Biologist during the term of this Purchase Order shall remain the exclusive property of the Buyer. The Biologist shall execute a separate Non-Disclosure Agreement specific to the Japan Osaka research program prior to commencing work.
- Payment: Payment for services rendered under this Purchase Order shall be made within forty-five (45) days of the end of each calendar month in which the Biologist's services were performed. Invoices must be submitted to the Japan Osaka accounts payable department in Japanese Yen (JPY).
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Biologist shall complete all ongoing experiments and submit a final handover report to the Japan Osaka site management before departing the facility.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in Japan Osaka in accordance with the rules of the Japan Commercial Arbitration Association.
