- Governing Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of Japan Tokyo and the applicable national legislation of Japan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Japan Tokyo under the rules of the Japan Commercial Arbitration Association.
- Biologist Obligations: The Biologist agrees to perform all services with the degree of skill, care, and diligence expected of a qualified professional Biologist practicing in Japan Tokyo. The Biologist shall maintain all necessary professional licenses and insurance coverage throughout the engagement period.
- Intellectual Property: All research data, reports, protocols, and intellectual property generated by the Biologist in the course of fulfilling this Purchase Order shall become the exclusive property of KTARI. The Biologist retains the right to reference the work in academic publications only with prior written consent from KTARI.
- Confidentiality: The Biologist shall treat all proprietary information, sample data, and internal documents of KTARI as strictly confidential. This obligation extends for a period of five (5) years following the completion of services under this Purchase Order.
- Payment Schedule: Payment shall be made in three installments: 30% upon execution of this Purchase Order, 40% upon completion of Items 1 and 2, and 30% upon final delivery and acceptance of all deliverables. All payments shall be made via bank transfer to the account designated by the Biologist's affiliated agency in Japan Tokyo.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the Biologist shall be compensated for all services rendered up to the termination date, and KTARI shall retain all completed deliverables.
- Compliance with Japan Tokyo Regulations: The Biologist warrants that all services performed under this Purchase Order shall comply with the Japan Tokyo Laboratory Safety Standards, the Act on the Safety of Biochemical Substances, and all relevant municipal ordinances of Japan Tokyo.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting Japan Tokyo.
By signing below, both parties acknowledge and agree to all terms set forth in this Purchase Order for the engagement of the Biologist in Japan Tokyo. This document constitutes a binding commercial agreement effective from the date of the last signature.
