1. Scope of Work: The Biologist named in this Purchase Order shall perform all duties and deliverables as outlined in the description table above. All fieldwork shall be conducted within the boundaries of Kenya Nairobi and its immediate environs. The Biologist must hold a valid Practising Certificate issued by the Kenya Medical Practitioners and Dentists Council or the relevant biological sciences regulatory body.
2. Commencement and Duration: Services under this Purchase Order shall commence on 01 August 2025 and the primary fieldwork phase shall be completed by 30 September 2025. The advisory period shall extend through 28 February 2026. Any extension beyond these dates requires written amendment to this Purchase Order.
3. Payment Schedule: Payment shall be made in three tranches: 40% upon signing of this Purchase Order, 40% upon submission and acceptance of the Biodiversity Impact Report, and 20% upon completion of the advisory period. All payments shall be made via bank transfer to the account specified by the Biologist's consultancy, domiciled in Kenya Nairobi.
4. Compliance and Permits: The Biologist is responsible for obtaining all necessary research permits from the Kenya Wildlife Service, NEMA, and the National Museums of Kenya prior to commencing fieldwork in Kenya Nairobi. EABRI shall provide institutional letters of introduction and logistical support as needed.
5. Intellectual Property: All data, reports, samples, and findings generated under this Purchase Order shall be the exclusive property of EABRI. The Biologist shall not publish, present, or disseminate any results without prior written consent from the Director of Research, EABRI, Kenya Nairobi.
6. Health, Safety, and Insurance: The Biologist shall maintain comprehensive professional indemnity insurance and personal accident coverage throughout the duration of this Purchase Order. All fieldwork in Kenya Nairobi shall adhere to OSHA-equivalent safety standards as adopted by Kenyan law.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Biologist shall be compensated for all services rendered up to the date of termination, less any outstanding deliverables.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising from this Purchase Order shall be resolved through arbitration in Kenya Nairobi in accordance with the Arbitration Act, 1995 of Kenya.
9. Confidentiality: The Biologist agrees to maintain strict confidentiality regarding all proprietary data, unpublished findings, and internal communications of EABRI. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
