- This Purchase Order (PO-2025-KL-00847) constitutes a binding agreement between GreenLab Research & Analytics Sdn. Bhd. (hereinafter "the Buyer") and Dr. Aisyah Rahman Biological Consulting Services (hereinafter "the Biologist Vendor") for the provision of biological consulting and environmental assessment services in Malaysia Kuala Lumpur.
- The Biologist shall perform all duties in accordance with the Malaysian Environmental Quality Act 1974, the Wildlife Protection Act 1972, and all applicable regulations enforced by the Department of Environment (DOE) of Malaysia Kuala Lumpur.
- All deliverables, including reports, data sets, and field samples, shall be submitted to the Buyer's office at Level 12, Menara KL, Malaysia Kuala Lumpur within the timelines specified in this Purchase Order.
- Payment shall be made via bank transfer to the account designated by the Biologist Vendor within thirty (30) calendar days from the date of receipt of a valid tax invoice. Late payments shall attract interest at the rate of 2% per month as stipulated under Malaysian commercial law.
- The Biologist warrants that all findings, taxonomic identifications, and ecological recommendations provided under this Purchase Order shall be accurate, scientifically rigorous, and free from conflicts of interest.
- Confidentiality: All data, samples, and proprietary information exchanged in connection with this Purchase Order shall be treated as strictly confidential by both parties. The Biologist shall not disclose any project details to third parties without prior written consent from the Buyer.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, government-imposed restrictions, or public health emergencies affecting operations in Malaysia Kuala Lumpur.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Malaysia Kuala Lumpur in accordance with the rules of the Asian International Arbitration Centre (AIAC). If mediation fails, the matter shall be referred to the courts of Malaysia Kuala Lumpur.
- This Purchase Order may be amended only by mutual written agreement signed by authorized representatives of both parties. No oral modifications shall be valid.
- The Biologist shall maintain valid professional indemnity insurance with a minimum coverage of MYR 1,000,000 throughout the duration of this engagement in Malaysia Kuala Lumpur.
All services and physical deliverables under this Purchase Order shall be delivered to the Buyer's premises in Malaysia Kuala Lumpur. The Buyer shall have fourteen (14) calendar days from the date of delivery to inspect and accept or reject the work performed by the Biologist. Failure to communicate rejection within this period shall constitute deemed acceptance.
