OF SERVICES – BIOLIST PROFESSIONAL ENGAGEMENTThis Purchase Order is issued by the Instituto de Investigaciones Ambientales del Valle de México, S.A. de C.V. (hereinafter referred to as the "Purchasing Entity") to formally request and authorize the procurement of specialized professional services rendered by a qualified Biologist and their supporting technical team. The scope of this engagement is to be carried out within the jurisdiction of Mexico, Mexico City, specifically at the Purchasing Entity's primary research laboratory facilities and designated field sites throughout the Federal District and surrounding metropolitan areas.
The Biologist engaged under this Purchase Order shall possess a minimum of a Master's degree in Biological Sciences, Ecology, or a closely related discipline, with no fewer than eight (8) years of documented professional experience in environmental impact assessment, biodiversity monitoring, and ecological restoration projects. The Biologist must hold a valid professional license (Cédula Profesional) issued by the relevant Mexican regulatory authority and must be registered with the Colegio de Biólogos de México. All services shall be performed in strict compliance with the Mexican Federal Environmental Law (Ley General del Equilibrio Ecológico y la Protección al Ambiente) and all applicable municipal regulations of Mexico, Mexico City.

3. TERMS AND CONDITIONS- Payment Terms: Payment shall be made in three (3) equal installments via bank transfer to the account designated by the Service Provider. The first installment (33.33%) is due upon execution of this Purchase Order. The second installment (33.33%) is due upon completion of the Environmental Impact Assessment and delivery of the final report. The final installment (33.34%) is due upon satisfactory completion of all deliverables and submission of the final project closure report. All payments are denominated in Mexican Pesos (MXN) and shall be processed through the financial institutions operating in Mexico City, Mexico.
- Delivery and Performance Period: All services described in this Purchase Order shall be performed and completed within a period of twelve (12) months from the date of issuance, unless otherwise agreed in writing by both parties. The Biologist shall submit a detailed project timeline within fifteen (15) business days of the Purchase Order's effective date.
- Intellectual Property: All reports, data sets, ecological maps, species inventories, and technical documentation produced by the Biologist under the scope of this Purchase Order shall be the exclusive property of the Purchasing Entity. The Service Provider retains the right to reference the engagement in professional portfolios, subject to a thirty (30) day prior written notice to the Purchasing Entity.
- Compliance and Licensing: The Biologist and all supporting personnel shall maintain valid professional credentials, environmental permits, and insurance coverage (including professional liability and workers' compensation) throughout the duration of the engagement. All fieldwork conducted in Mexico City, Mexico shall comply with local, state, and federal environmental regulations.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary data, research findings, and business information exchanged in connection with this Purchase Order. This obligation shall survive the termination of the agreement for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Purchasing Entity shall compensate the Service Provider for all services rendered and expenses incurred up to the date of termination, as documented in a final invoice.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the commercial laws of the United Mexican States. Any disputes arising from or in connection with this Purchase Order shall be resolved by the competent commercial courts located in Mexico City, Mexico. Both parties waive the right to litigate in any other jurisdiction.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including but not limited to natural disasters, government actions, pandemics, or civil unrest affecting the Mexico City metropolitan area.
- Anti-Corruption: Both parties represent and warrant that no bribe, kickback, or improper payment has been offered, given, or received in connection with this Purchase Order, in compliance with the Mexican Federal Anti-Corruption Law and all applicable international standards.
