3. Payment shall be made in three (3) equal installments: 40% upon successful commencement of fieldwork, 35% upon submission of the interim report, and 25% upon final acceptance of the completed biodiversity report by the FRDA Technical Review Committee in Nigeria Abuja.
4. The Biologist is required to maintain valid professional indemnity insurance and a current license issued by the National Association of Biologists of Nigeria throughout the duration of this Purchase Order.
5. All data, specimens, and intellectual property generated under this Purchase Order shall remain the exclusive property of the Federal Research and Development Agency, Nigeria Abuja. The Biologist shall not publish, distribute, or disclose any findings without prior written consent.

7. Any disputes arising from this Purchase Order shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria, with the seat of arbitration in Nigeria Abuja.
8. This Purchase Order is governed by the laws of the Federal Republic of Nigeria. The jurisdiction of the courts in Nigeria Abuja shall apply to any legal proceedings arising hereunder.
9. The Biologist shall provide weekly written progress updates to the FRDA Project Coordinator and shall make all field notes, raw data, and preliminary observations available for inspection upon request.
10. Failure by the Biologist to meet the stipulated timelines without a valid, documented reason shall result in a penalty of 1% of the total Purchase Order value per day of delay, capped at 10% of the total contract value.
