1. Validity: This Purchase Order is valid for thirty (30) calendar days from the date of issue. If the Biologist does not confirm acceptance in writing within this period, the Purchase Order shall be considered null and void.
2. Payment: Payment shall be made within thirty (30) days from the date of invoice issuance, via bank transfer to the account designated by the Biologist. The invoice must include the RUC of the Biologist, the reference number of this Purchase Order, and the applicable IGV breakdown.
3. Delivery of Reports: All technical reports and deliverables must be submitted to the IIAP office in Peru Lima no later than fifteen (15) business days following the completion of the final fieldwork activity. Electronic copies (PDF) and two (2) hard-bound copies are required.
4. Confidentiality: The Biologist agrees to maintain strict confidentiality regarding all data, species locations, and sensitive ecological information collected during the engagement in Peru Lima. This obligation survives the termination of this Purchase Order for a period of five (5) years.
5. Insurance: The Biologist shall maintain valid professional liability insurance and personal accident coverage for all field activities conducted in Peru Lima throughout the duration of this Purchase Order.
6. Termination: Either party may terminate this Purchase Order with fifteen (15) days' written notice. In the event of early termination, the Biologist shall be compensated for all services rendered and expenses incurred up to the date of termination.
7. Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the civil and commercial laws of the República del Perú. Any disputes arising from this Purchase Order shall be resolved by the competent courts of Peru Lima.
8. Force Majeure: Neither party shall be liable for delays caused by natural disasters, government mandates, or other events beyond reasonable control, particularly those affecting operations in Peru Lima.
