1. Description of Purchase Order Scope

This Purchase Order is issued by Tropical Biomedical Research Institute, Inc. (hereinafter referred to as "the Buyer") to engage the services of a qualified Biologist for the purpose of conducting comprehensive biological research, laboratory analysis, and environmental sampling within the greater Philippines Manila metropolitan area. The Biologist engaged under this Purchase Order shall be responsible for executing all tasks as outlined in the itemized schedule below, ensuring full compliance with the standards set by the Department of Science and Technology (DOST) and the Philippine National Standards (PNS) applicable to biological research conducted in Philippines Manila.

3. Terms and Conditions

3.1 The Biologist shall commence all services under this Purchase Order no later than July 1, 2025, and shall complete all deliverables within the timeframe specified in the project schedule attached hereto as Annex B. All work shall be performed primarily at the Buyer's facility located in Makati City, Philippines Manila, unless fieldwork in other parts of the Philippines Manila metro area is explicitly required.

3.2 The Biologist warrants that all research findings, data, and reports produced under this Purchase Order shall be original, accurate, and free from intellectual property infringement. The Biologist shall maintain all biological specimens and data in accordance with the Philippine Data Privacy Act of 2012 (Republic Act No. 10173) and applicable DOST regulations governing biological research in the Philippines Manila area.

3.3 Payment under this Purchase Order shall be made in Philippine Pesos via bank transfer to the account designated by the Biologist. The Buyer shall process payment within thirty (30) calendar days from the date of receipt of a valid invoice and acceptance of the corresponding deliverable. Late payments shall accrue interest at the rate of one percent (1%) per month as stipulated under Philippine commercial law.

3.4 The Biologist shall be responsible for obtaining all necessary permits, clearances, and environmental compliance certificates required by the Department of Environment and Natural Resources (DENR) and the local government units of the Philippines Manila cities where fieldwork is conducted. Any costs associated with such permits shall be borne by the Buyer as part of this Purchase Order.

3.5 Either party may terminate this Purchase Order upon fifteen (15) days written notice to the other party. In the event of termination, the Biologist shall be compensated for all services rendered and materials procured up to the date of termination, subject to final acceptance by the Buyer's project manager in Philippines Manila.

3.6 All disputes arising from this Purchase Order shall be resolved through amicable negotiation. Should negotiation fail, the dispute shall be submitted to the courts of competent jurisdiction in the Philippines Manila region. This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Philippines.

4. Authorization and Acceptance

This Purchase Order for the engagement of a Biologist in the Philippines Manila area is hereby authorized and approved by the undersigned officers of Tropical Biomedical Research Institute, Inc. The Biologist acknowledges receipt of this Purchase Order and agrees to perform all services in accordance with the terms, conditions, and specifications set forth herein.
