- Scope of Engagement: The Biologist shall perform all duties strictly within the laboratory premises of the Moscow Scientific Research Institute located in Russia Moscow. Any work conducted outside these premises requires prior written authorization from the Buyer's project director.
- Intellectual Property: All data, findings, publications, and intellectual property generated by the Biologist during the execution of this Purchase Order shall be the sole property of the Moscow Scientific Research Institute. The Biologist agrees to assign all rights to the Buyer upon completion of each project phase.
- Confidentiality: The Biologist is bound by a non-disclosure agreement (NDA) executed concurrently with this Purchase Order. All biological samples, genetic data, and proprietary research methodologies encountered in Russia Moscow shall be treated as strictly confidential.
- Payment Terms: Payment shall be made in three equal installments of 1,018,000 RUB each, due within 30 calendar days of the Buyer's receipt of a valid invoice. The first installment is due upon commencement of work, the second upon completion of laboratory work (Item 02), and the third upon delivery of the final report (Item 04).
- Compliance with Russian Law: This Purchase Order is governed by the Civil Code of the Russian Federation. All services rendered by the Biologist shall comply with applicable Russian federal regulations, including but not limited to Federal Law No. 152-FZ on Personal Data and relevant biosafety regulations issued by Rospotrebnadzor.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Biologist shall be compensated for all services rendered up to the date of termination, and all biological materials and data shall be returned to the Buyer.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration at the Arbitration Court of the City of Moscow, Russia Moscow, in accordance with the applicable procedural rules.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting operations in Russia Moscow.
All deliverables under this Purchase Order, including but not limited to raw sequencing data, analytical reports, and the final scientific manuscript prepared by the Biologist, shall be submitted to the MSRI project management office in Russia Moscow in both electronic (PDF and raw data formats) and physical (bound hard copy) form. Acceptance of deliverables shall be confirmed in writing by the Buyer's designated project reviewer within 15 business days of submission. Failure to provide written acceptance or rejection within this period shall constitute deemed acceptance.
