- This Purchase Order constitutes a binding agreement between Al-Nakheel Biomedical Research Institute and the named Biologist upon signature by both parties. All services shall be rendered exclusively within the geographic jurisdiction of Saudi Arabia Jeddah unless otherwise authorized in writing by the institute's procurement director.
- The Biologist shall maintain a valid professional license issued by the Saudi Commission for Health Specialties (SCFHS) and shall present proof of such licensure prior to commencing any fieldwork or laboratory activity.
- Payment shall be processed via bank transfer within thirty (30) calendar days of receipt of a valid tax invoice from the Biologist. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Saudi commercial law.
- All data, samples, and intellectual property generated during the course of this engagement shall remain the exclusive property of Al-Nakheel Biomedical Research Institute. The Biologist agrees to sign a non-disclosure agreement (NDA) prior to the first day of service delivery.
- The Biologist is responsible for procuring all personal protective equipment (PPE), specialized reagents, and portable laboratory instruments required to perform the services outlined in this Purchase Order. The institute shall provide access to its fixed laboratory facilities in Jeddah.
- Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the Biologist shall be compensated for all services rendered up to the effective date of termination, less any applicable deductions.
- All disputes arising from this Purchase Order shall be resolved through arbitration in Jeddah, Saudi Arabia, in accordance with the rules of the Saudi Center for Commercial Arbitration (SCCA). The governing law shall be the laws of the Kingdom of Saudi Arabia.
- The Biologist shall comply with all occupational health and safety regulations enforced by the Ministry of Human Resources and Social Development in Saudi Arabia, including mandatory workers' compensation insurance coverage for the duration of the engagement.
