This Purchase Order is issued by the Savanna Environmental Research Institute (Pty) Ltd, headquartered in South Africa Johannesburg, for the professional engagement of a qualified Biologist to conduct comprehensive ecological field assessments, laboratory analyses, and environmental impact reporting in support of the institute's 2025/2026 biodiversity monitoring programme.   1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from this Purchase Order relating to the Biologist's services in South Africa Johannesburg shall be subject to the exclusive jurisdiction of the High Court of South Africa, Gauteng Division, Johannesburg.
  2. Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid tax invoice from the Biologist. Invoices must reference this Purchase Order number (PO-2025-JHB-0487). Payment shall be effected by electronic funds transfer (EFT) to the supplier's designated bank account in South Africa.
  3. Performance Security: The Biologist shall provide a performance bond or bank guarantee equivalent to 10% of the total contract value, issued by a registered South African financial institution, prior to the commencement of fieldwork.
  4. Compliance: The Biologist warrants that all work shall comply with the National Environmental Management Act (NEMA, Act 107 of 1998), the National Environmental Management: Biodiversity Act (Act 10 of 2004), the National Water Act (Act 36 of 1998), and all applicable municipal by-laws of the City of Johannesburg Metropolitan Municipality.
  5. Intellectual Property: All data, reports, photographs, and deliverables produced under this Purchase Order shall become the sole property of the Savanna Environmental Research Institute (Pty) Ltd upon full payment. The Biologist retains the right to use anonymised data for academic publication with prior written consent.
  6. Insurance: The Biologist shall maintain comprehensive professional indemnity insurance of no less than ZAR 5,000,000 and public liability insurance of no less than ZAR 2,000,000 for the duration of the engagement in South Africa Johannesburg.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the Purchasing Entity may terminate immediately upon written notice. Termination shall not affect accrued rights or obligations.
  8. Health and Safety: The Biologist shall comply with the Occupational Health and Safety Act (Act 85 of 1993) and all site-specific safety protocols. A valid medical certificate confirming fitness for fieldwork in the South Africa Johannesburg region shall be submitted prior to commencement.
  9. Confidentiality: The Biologist shall treat all proprietary information, site coordinates, and sensitive ecological data as strictly confidential and shall not disclose such information to any third party without written authorisation from the Purchasing Entity.
  10. Anti-Corruption: The Biologist confirms that no bribe, kickback, or improper inducement has been offered or accepted in connection with this Purchase Order, in compliance with the Prevention and Combating of Corrupt Activities Act (Act 12 of 2004).

This Purchase Order is issued and authorised by the undersigned on behalf of the Savanna Environmental Research Institute (Pty) Ltd. The Biologist's acceptance of this Purchase Order constitutes full agreement to all terms, conditions, and deliverables specified herein. The engagement is specifically scoped for operations within the South Africa Johannesburg metropolitan area and its immediate ecological catchments.
