TERMS AND CONDITIONS- Payment Terms: Payment shall be made in monthly instalments within 30 days of receipt of a valid invoice. The first payment shall be due on 01 August 2025. All transactions shall be processed in Euro (EUR) via bank transfer to the account designated by the Supplier, in accordance with standard banking practices in Spain Barcelona.
- Scope of the Biologist’s Role: The Lead Biologist, Dr. Jordi Ferrer, shall serve as the primary point of contact and shall be responsible for the scientific integrity of all research outputs. The Biologist is expected to work a minimum of 40 hours per week at the MedBio facility in Barcelona, with additional hours allocated for fieldwork in the surrounding Catalonia region. The Biologist shall adhere to all institutional protocols and ethical guidelines governing biological research in Spain.
- Intellectual Property: All data, findings, publications, and intellectual property generated by the Biologist and the associated team during the term of this Purchase Order shall be the exclusive property of MedBio Research Institute S.L. The Biologist agrees to assign all rights to such outputs in writing upon request.
- Compliance and Safety: The Biologist and all personnel engaged under this Purchase Order must comply with the Spanish Royal Decree 664/1997 on chemical agent safety, the Catalan regional environmental regulations, and all EU directives applicable to biological laboratories. The Supplier shall maintain valid professional liability insurance with a minimum coverage of €1,000,000, registered in Spain Barcelona.
- Termination: Either party may terminate this Purchase Order with 60 days’ written notice. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination. The Biologist shall return all institutional materials, data, and access credentials within 14 days of termination.
- Confidentiality: The Biologist and all associated personnel are bound by strict confidentiality obligations regarding proprietary research data, unpublished findings, and internal operational information of MedBio Research Institute S.L. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Barcelona, Spain, in accordance with the Spanish Civil Procedure Law (Ley de Enjuiciamiento Civil). If mediation fails, the matter shall be submitted to the competent courts of Barcelona, Spain.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, government-mandated closures, or regulatory changes enacted by the Spanish or Catalan authorities in Barcelona.
- Validity: This Purchase Order is valid for acceptance within 10 business days from the date of issue. Failure to confirm acceptance within this period shall render this document null and void.
