This Purchase Order formally authorizes the procurement of professional Biologist services to be executed within the cantonal and municipal boundaries of Switzerland Zurich. The contracted Biologist shall adhere to all applicable Swiss federal and cantonal environmental regulations, including the Federal Act on the Protection of Water (GSchG), the Federal Act on Nature and Cultural Heritage Protection (NHG), and the specific directives issued by the Canton of Zurich's Department of Environment, Energy, and Spatial Development.
The Biologist is expected to maintain full professional licensure as recognized by the Swiss Federal Office for the Environment (BAFU) throughout the entire duration of this Purchase Order. All fieldwork, laboratory analysis, and reporting activities must be conducted in compliance with Swiss data protection law (DSG) and the ethical standards of the Swiss Society of Natural Sciences (SGN).
- Acceptance: This Purchase Order becomes binding upon written acceptance by the Biologist within five (5) business days of the issue date. Acceptance must be confirmed in writing to the procurement office of Helvetia Environmental Research Institute, Zurich, Switzerland.
- Payment: Payment of the total amount of CHF 81,852.00 shall be made via bank transfer to the Biologist's designated account in Switzerland within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the Swiss National Bank (SNB) reference rate plus 2% per annum.
- Performance Period: The Biologist shall commence all services no later than 1 July 2025 and shall complete all deliverables, including the final technical report, by 30 September 2025. Any extension must be mutually agreed in writing and appended to this Purchase Order.
- Intellectual Property: All data, specimens, reports, and findings generated by the Biologist under this Purchase Order shall remain the exclusive property of Helvetia Environmental Research Institute, Zurich. The Biologist retains the right to reference the work in academic publications subject to prior written approval.
- Confidentiality: The Biologist shall treat all proprietary data, internal communications, and unpublished findings as strictly confidential in accordance with Swiss law. This obligation survives the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, the Biologist shall be compensated for all services rendered up to the effective date of termination, plus a 10% completion premium on outstanding deliverables.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of Switzerland. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Zurich, Switzerland, or, at the Buyer's election, to arbitration under the rules of the Swiss Arbitration Centre (SAC) in Zurich.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, epidemics, or government-mandated restrictions within Switzerland Zurich, provided that the affected party notifies the other within 48 hours.
- Insurance: The Biologist shall maintain professional liability insurance with a minimum coverage of CHF 1,000,000 per claim, valid throughout the performance period, and shall provide a certificate of insurance upon request.
- Compliance with Swiss Standards: All laboratory analyses and field methodologies employed by the Biologist must conform to ISO 17025 accreditation standards and the specific technical guidelines published by the Swiss Federal Office for the Environment (BAFU) for the Zurich region.
