• Quarterly reports (Item 004) are payable upon acceptance of the final report by the buyer's Chief Scientific Officer.

• The Biologist shall commence duties no later than 1 July 2025 at the buyer's Thailand Bangkok facility.

1. This Purchase Order is governed by the laws of the Kingdom of Thailand. Any disputes arising from this Purchase Order shall be resolved through arbitration in Thailand Bangkok in accordance with the rules of the Thai Arbitration Institute.
2. The Biologist engaged under this Purchase Order shall be bound by a strict confidentiality and non-disclosure agreement covering all proprietary research data, methodologies, and findings generated during the engagement in Thailand Bangkok.
3. The supplier warrants that the Biologist shall possess all necessary professional qualifications, licenses, and certifications required to perform biological research and fieldwork in Thailand Bangkok. 4. The buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice in the event of sustained underperformance by the Biologist, as determined by two consecutive quarterly performance reviews scoring below 60%.
5. All intellectual property generated by the Biologist during the course of this engagement shall be the sole property of the buyer, Siam BioResearch Laboratories Co., Ltd.
6. The supplier shall ensure that the Biologist complies with all occupational health and safety standards mandated by the Thai Department of Labour for laboratory and field environments in Thailand Bangkok.
7. This Purchase Order does not create an employment relationship between the buyer and the Biologist. The Biologist remains under the contractual supervision of the supplier.
