This Purchase Order is issued by Meridian Scientific Solutions Ltd. to formally engage a qualified Biologist for specialized laboratory and field research services to be conducted within the Turkey Istanbul metropolitan region. - Acceptance: This Purchase Order constitutes a binding agreement upon written acceptance by the Biologist or their authorized representative. The Biologist shall confirm acceptance in writing within five (5) business days of receipt of this document.
- Payment Terms: Payment shall be made in three (3) equal installments via bank transfer to the IBAN specified above. The first installment (33.33%) is due upon commencement of services in Turkey Istanbul. The second installment (33.33%) is due upon completion of Items 01 through 03. The final installment (33.34%) is due upon delivery and acceptance of the final biological impact report (Item 04). All payments are subject to the terms stated in this Purchase Order.
- Performance Standards: The Biologist shall perform all services in accordance with ISO 17025 laboratory standards, Turkish Environmental Law No. 2872, and applicable Istanbul municipal regulations. All fieldwork conducted in Turkey Istanbul shall comply with local permits and safety protocols.
- Intellectual Property: All data, reports, and findings generated under this Purchase Order shall remain the exclusive property of Meridian Scientific Solutions Ltd. The Biologist shall not publish, distribute, or disclose any proprietary information without prior written consent.
- Insurance and Liability: The Biologist shall maintain professional liability insurance with a minimum coverage of TRY 500,000 for the duration of the engagement in Turkey Istanbul. A certificate of insurance shall be provided prior to the start date.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the Biologist shall be compensated for all services rendered up to the termination date, as documented in this Purchase Order.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts in Istanbul, Turkey.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all business information exchanged in connection with this Purchase Order and the Biologist's engagement in Turkey Istanbul.
The Biologist is required to coordinate with the Istanbul Provincial Directorate of Health for all environmental sampling permits. All fieldwork in the Bosphorus Strait and coastal wetland areas of Turkey Istanbul must be scheduled during permitted hours and in compliance with seasonal wildlife protection regulations. The Biologist shall submit weekly progress reports to the Meridian project manager. This Purchase Order may not be transferred or subcontracted without prior written approval from Meridian Scientific Solutions Ltd.
