- This Purchase Order constitutes a binding agreement between the Buyer and the Biologist upon signature by both parties. All services shall be rendered in full compliance with the laws of the Republic of Uganda, including the National Environment Management Act (Cap. 153) and the Uganda Wildlife Act.
- The Biologist shall maintain valid professional registration with the Uganda Biologists Council (UBC) throughout the duration of this engagement. Any lapse in licensure shall constitute grounds for immediate termination of this Purchase Order.
- All fieldwork, laboratory analysis, and reporting activities shall be conducted primarily within the Uganda Kampala metropolitan area unless prior written authorization is obtained from the Buyer for travel to other districts.
- Payment shall be made in Ugandan Shillings (UGX) via bank transfer to the account designated by the Biologist within thirty (30) calendar days of receipt of a valid invoice and satisfactory completion of the corresponding milestone as outlined in this Purchase Order.
- The Biologist shall submit a comprehensive progress report to the Buyer's Head of Procurement on the 15th of each month. Failure to submit reports for two consecutive months may result in a 5% penalty deduction from the outstanding balance.
- All data, specimens, photographs, and reports generated under this Purchase Order shall remain the exclusive intellectual property of the East African Research & Development Institute. The Biologist shall not publish, distribute, or disclose any findings without prior written consent.
- Force majeure events, including but not limited to civil unrest, natural disasters, or government-imposed restrictions within Uganda Kampala, shall suspend obligations under this Purchase Order for the duration of the event, with timelines adjusted accordingly.
- Disputes arising from this Purchase Order shall be resolved through mediation in Uganda Kampala in accordance with the Arbitration Act of Uganda (Cap. 72). The courts of Uganda Kampala shall have exclusive jurisdiction.
- This Purchase Order is valid for acceptance within thirty (30) days of the date of issue. After this period, the Biologist must seek written confirmation of continued validity from the Buyer before commencing any work.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of a Biologist in Uganda Kampala.
