1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the federal laws of the United Arab Emirates and the specific commercial regulations of the Emirate of Dubai. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the Dubai Courts.
2. Qualifications of the Biologist: The Biologist engaged under this Purchase Order must hold a minimum of a Master's degree in Biology, Marine Science, or a closely related discipline, and must possess a valid UAE professional license or freelance permit issued by the relevant Dubai authority. All credentials shall be verified prior to commencement of work.
3. Payment Terms: Payment shall be made in three (3) equal installments: 30% upon acceptance of this Purchase Order, 40% upon submission of the interim field report, and 30% upon final delivery and acceptance of all deliverables. Payment shall be processed via bank transfer to the account designated by the Biologist, in United Arab Emirates Dirhams (AED).
4. Delivery and Commencement: All services shall commence no later than 21 June 2025. The Biologist shall report to the project site in United Arab Emirates Dubai as per the agreed schedule. All fieldwork must be conducted in compliance with Dubai Municipality environmental permits and UAE federal wildlife protection statutes.
5. Intellectual Property: All reports, data sets, photographs, and analytical outputs produced under this Purchase Order shall become the exclusive property of Al Noor Scientific Research & Consulting LLC upon full payment. The Biologist retains the right to reference the work in academic publications only with prior written consent.
6. Confidentiality: The Biologist agrees to maintain strict confidentiality regarding all proprietary data, client information, and project details encountered during the execution of this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
7. Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the Biologist shall be compensated for all services rendered up to the date of termination, less any applicable deductions.
8. Health, Safety, and Environmental Compliance: The Biologist shall adhere to all occupational health and safety standards applicable in United Arab Emirates Dubai, including but not limited to the requirements of the Dubai Municipality and the UAE Ministry of Health and Prevention. Personal protective equipment shall be provided by the Buyer.
9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies declared within the United Arab Emirates.
10. Amendments: No modification or amendment to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties.
