- This Purchase Order constitutes a binding agreement between NorthWest BioSciences Ltd. (hereinafter "the Buyer") and Dr. James A. Hartley, Senior Biologist (hereinafter "the Biologist" or "the Supplier"), for the provision of professional biological services and associated goods as itemised above.
- All services rendered by the Biologist shall be performed in accordance with the standards set by the Royal Society of Biology and in full compliance with the Wildlife and Countryside Act 1981, the Environmental Protection Act 1990, and all applicable regulations enforced by Manchester City Council and the Environment Agency for the United Kingdom.
- The Biologist warrants that all laboratory analyses, field sampling, and scientific reports delivered under this Purchase Order shall be conducted with due professional care, using validated methodologies, and shall be free from material error or omission.
- Payment of the total Purchase Order value of £26,940.00 (inclusive of VAT) shall be made within thirty (30) calendar days of receipt of a valid tax invoice from the Biologist, by BACS transfer to the account specified on the invoice. Late payments shall attract interest at the rate of 4% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
- All deliverables, including but not limited to the eDNA analysis report, ecological impact assessment findings, and the peer-reviewed environmental impact statement, shall be delivered to the Buyer's offices at 42 Salford Quays, Manchester, M50 3GA, United Kingdom, no later than 01 August 2025.
- The Biologist shall maintain professional indemnity insurance with a minimum cover of £5,000,000 for the duration of the contract and shall provide a certificate of insurance upon request.
- Intellectual property rights in all reports, data sets, and analyses produced specifically for the Buyer under this Purchase Order shall vest in NorthWest BioSciences Ltd. upon full payment. The Biologist retains the right to use anonymised data for academic publication with prior written consent from the Buyer.
- Either party may terminate this Purchase Order with fourteen (14) days' written notice if the other party commits a material breach. In the event of termination, the Biologist shall be compensated for all services satisfactorily completed up to the date of termination.
- This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of Manchester, United Kingdom.
- The Biologist shall comply with all data protection obligations under the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018 with respect to any personal data processed in connection with this Purchase Order.
All physical goods (reagents, media, consumables) referenced in Line Item 03 of this Purchase Order shall be delivered DAP (Delivered at Place) to the Buyer's laboratory at 42 Salford Quays, Manchester, United Kingdom. Risk of loss passes to the Buyer upon delivery at the named place. The Buyer shall inspect all goods within five (5) working days of delivery and notify the Biologist in writing of any discrepancies, shortages, or defects. Failure to notify within this period shall constitute acceptance of the goods.
