This Purchase Order is issued by the Gulf Coast Environmental Research Institute (hereinafter referred to as "the Buyer") to engage the services of a qualified Biologist, Dr. Elena M. Vasquez, operating under Vasquez Biological Consulting LLC (hereinafter referred to as "the Vendor"), for the provision of specialized biological research, environmental sampling, and laboratory analysis services. All services and deliverables under this Purchase Order shall be performed within the metropolitan area of Houston, Texas, United States, unless otherwise specified in writing by the Buyer. This Purchase Order constitutes a binding agreement upon signature by both parties and supersedes all prior verbal or written communications regarding the scope of work described herein.
The following table details the specific services, equipment, and materials procured under this Purchase Order. The Biologist shall provide all professional expertise, fieldwork, laboratory analysis, and reporting as outlined below. 4.1 Compliance: The Biologist shall perform all services in full compliance with the United States Environmental Protection Agency (EPA) regulations, the Texas Commission on Environmental Quality (TCEQ) guidelines, and all applicable federal, state, and local laws governing biological fieldwork and laboratory operations in Houston, Texas.
4.2 Insurance: The Vendor shall maintain a minimum of $2,000,000 in general liability insurance and $1,000,000 in professional liability (errors and omissions) insurance for the duration of this Purchase Order. Certificates of insurance shall be provided to the Buyer prior to the commencement of services in Houston, United States.
4.3 Intellectual Property: All data, reports, samples, and intellectual property generated under this Purchase Order shall become the sole property of the Gulf Coast Environmental Research Institute upon full payment. The Biologist shall not publish, present, or disclose any findings without prior written consent from the Buyer.
4.4 Payment Schedule: Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. The Buyer shall issue payment via ACH transfer to the Vendor's designated bank account in Houston, Texas, United States. Late payments shall accrue interest at a rate of 1.5% per month.
4.5 Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the Buyer shall pay for all services rendered and materials procured up to the date of termination.
4.6 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Texas, United States. Any disputes arising hereunder shall be resolved in the courts of Harris County, Houston, Texas.
4.7 Force Majeure: Neither party shall be liable for delays caused by natural disasters, including but not limited to hurricanes affecting the Houston, United States coastal region, provided that the affected party notifies the other within 48 hours of the event.
By signing below, both parties acknowledge and agree to all terms, conditions, and line items specified in this Purchase Order. The Biologist confirms availability to commence services on or before July 1, 2025, in Houston, Texas, United States.
