Payment for this Purchase Order shall be made via wire transfer to the Biologist's designated business account. Invoicing shall occur in three installments: 40% upon Purchase Order acceptance and commencement of fieldwork, 40% upon delivery of the Biologist's final ecological impact report, and 20% upon completion of the follow-up monitoring period. All payments are due within thirty (30) calendar days of invoice receipt. Late payments shall accrue interest at a rate of 1.5% per month as permitted under California Commercial Code Section 2304. The Biologist shall provide a valid California sales tax exemption certificate or applicable tax documentation with each invoice.

  1. This Purchase Order is governed by the laws of the State of California and the federal laws of the United States. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Los Angeles, California, in accordance with the rules of the American Arbitration Association.
  2. The Biologist warrants that all services rendered under this Purchase Order shall be performed in a professional, competent, and workmanlike manner consistent with the standards of practice established by the California Board of Registered Biological Scientists and the American Institute of Biological Sciences.
  3. The Biologist shall maintain all necessary professional licenses, permits, and insurance (including general liability of no less than $2,000,000 and professional liability of no less than $1,000,000) for the entire duration of this Purchase Order engagement in United States Los Angeles.
  4. All data, reports, samples, and intellectual property generated by the Biologist under this Purchase Order shall become the sole property of Pacific Coastal Environmental Research Institute, Inc. upon full payment. The Biologist shall not reproduce, publish, or distribute any portion of the deliverables without prior written consent.
  5. The Biologist shall comply with all applicable federal, state, and local environmental regulations, including but not limited to the Clean Water Act, the California Environmental Quality Act (CEQA), and Los Angeles Municipal Code Title 74 (Environmental Protection).
  6. Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Biologist shall be compensated for all services rendered and expenses incurred up to the date of termination, as documented in a final invoice.
  7. The Biologist shall not subcontract any portion of the work described in this Purchase Order without the prior written approval of the Purchasing Party. Any approved subcontractor shall be bound by the same terms and conditions set forth herein.
  8. This Purchase Order constitutes the entire agreement between the parties regarding the Biologist services described herein and supersedes all prior negotiations, representations, or agreements, whether written or oral.

By signing below, the authorized representatives of both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Biologist in United States Los Angeles.
