Terms and Conditions of This Purchase Order

  1. Scope of Work: The Biologist identified as the Seller under this Purchase Order shall perform all biological fieldwork, laboratory analysis, and reporting exclusively within the United States Miami metropolitan area unless otherwise authorized in writing by the Buyer.
  2. Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid invoice. A 15% deposit is due upon acceptance of this Purchase Order. The remaining balance shall be paid in two equal installments: 50% upon delivery of the technical report and 50% upon final acceptance of all deliverables.
  3. Compliance: The Biologist warrants that all services rendered under this Purchase Order shall comply with the Florida Fish and Wildlife Conservation Commission (FWC) regulations, the U.S. Fish and Wildlife Service guidelines, and all applicable United States Miami municipal ordinances governing biological field research and specimen collection.
  4. Insurance: The Biologist shall maintain professional liability insurance with a minimum coverage of $1,000,000 per occurrence and general liability insurance of $2,000,000 for the duration of this Purchase Order. Certificates of insurance shall be provided prior to commencement of fieldwork in United States Miami.
  5. Intellectual Property: All data, reports, maps, and biological specimens generated under this Purchase Order shall become the exclusive property of the Atlantic Coastal Research Institute upon full payment. The Biologist retains the right to reference the work in academic publications with prior written consent.
  6. Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the Biologist shall be compensated for all services rendered and expenses incurred up to the date of termination, subject to a pro-rata adjustment.
  7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Florida, United States. Any disputes arising hereunder shall be resolved through binding arbitration in United States Miami, Dade County, in accordance with the rules of the American Arbitration Association.
  8. Confidentiality: The Biologist agrees to maintain strict confidentiality regarding all proprietary data, sampling methodologies, and institutional information disclosed during the performance of this Purchase Order. This obligation shall survive termination for a period of five (5) years.
  9. Permits and Access: The Buyer shall secure all necessary federal, state, and local permits required for biological fieldwork in United States Miami waters and protected areas. The Biologist shall provide a detailed list of required permits within five (5) business days of Purchase Order acceptance.
  10. Acceptance: This Purchase Order becomes effective upon signature by both parties. No modifications to the scope, pricing, or timeline shall be valid unless documented in a written amendment signed by both the Buyer and the Biologist.
