- This Purchase Order constitutes a binding agreement between the Hudson River Environmental Research Institute and the named Biologist for the provision of professional ecological services within the jurisdiction of United States New York City. All work shall be performed in accordance with New York State environmental regulations and federal guidelines.
- The Biologist shall maintain all required professional licenses, including but not limited to the New York State Biological Survey license, and shall provide proof of current certification upon request by the issuing organization.
- Payment shall be rendered within thirty (30) calendar days of receipt of an approved invoice. Invoices must reference this Purchase Order number (PO-NYC-2025-04871) and shall be submitted to the accounts payable department at the United States New York City headquarters.
- The Biologist is responsible for all personal equipment, field gear, and laboratory consumables unless otherwise specified in a written amendment to this Purchase Order. Travel expenses within the five boroughs of United States New York City are included in the stated rates.
- All data, specimens, reports, and intellectual property generated under this Purchase Order shall remain the exclusive property of the Hudson River Environmental Research Institute. The Biologist shall not publish, distribute, or disclose any findings without prior written authorization.
- The Biologist shall comply with all applicable occupational safety standards set forth by the United States Occupational Safety and Health Administration (OSHA) and New York State Department of Labor regulations during all fieldwork and laboratory activities.
- This Purchase Order may be terminated by either party with thirty (30) days written notice. In the event of termination, the Biologist shall be compensated for all services rendered up to the effective date of termination.
- Any disputes arising from this Purchase Order shall be resolved through binding arbitration in the jurisdiction of United States New York City, in accordance with the rules of the American Arbitration Association.
- The Biologist shall carry professional liability insurance with a minimum coverage of $2,000,000 per occurrence and shall provide a certificate of insurance to the issuing organization prior to commencing work.
- This Purchase Order is governed by the laws of the State of New York and the federal laws of the United States of America. All references to "United States New York City" herein include the five boroughs: Manhattan, Brooklyn, Queens, The Bronx, and Staten Island.
