- This Purchase Order constitutes a binding agreement between Bay Area Marine Research Institute (hereinafter "the Buyer") and Vasquez Biological Consulting, LLC, represented by the Biologist Dr. Elena M. Vasquez (hereinafter "the Vendor"), for the provision of biological research services and related materials in San Francisco, California, United States.
- All services described in this Purchase Order shall be performed by the Biologist or by qualified personnel directly supervised by the Biologist. The Biologist shall maintain all required California professional licenses and insurance coverage throughout the duration of this engagement.
- Payment shall be made within thirty (30) calendar days of receipt of a valid invoice from the Vendor. Payment shall be processed via ACH transfer to the account designated on the Vendor's invoice. Late payments shall accrue interest at a rate of 1.5% per month as permitted under California Commercial Code Section 2910.
- All deliverables, including the Environmental Impact Assessment report, specimen samples, and training materials, shall be delivered to the Buyer's facility at 1450 Harbor View Drive, San Francisco, California 94107, United States, unless otherwise specified in the line items above.
- The Biologist warrants that all field data, species identifications, and analytical conclusions contained in the deliverables shall be accurate, original, and free from intellectual property infringement. The Biologist shall indemnify the Buyer against any third-party claims arising from the services rendered under this Purchase Order.
- Any changes to the scope of work, delivery schedule, or pricing outlined in this Purchase Order must be documented in a written amendment signed by both parties. Verbal modifications shall not be enforceable.
- This Purchase Order is governed by the laws of the State of California, United States. Any disputes arising from this agreement shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association.
- The Vendor shall comply with all applicable federal, state, and local regulations in the United States, including but not limited to the Endangered Species Act, California Fish and Game Code, and San Francisco Municipal Code provisions regarding biological fieldwork in the Bay Area.
- This Purchase Order shall remain in full force and effect until all obligations of both parties have been satisfied in full. Either party may terminate this agreement with thirty (30) days written notice if the other party materially breaches any term herein.
- All confidential information exchanged in connection with this Purchase Order shall be treated as proprietary and shall not be disclosed to third parties without prior written consent, in accordance with the mutual Non-Disclosure Agreement executed on March 3, 2025.
