The Biologist engaged under this Purchase Order shall adhere to the following obligations:

• Conduct all fieldwork and laboratory activities within the geographic boundaries of Venezuela Caracas, including the municipalities of Chacao, Baruta, Sucre, and El Paraíso, unless prior written authorization is granted by the purchasing entity.
• Maintain full professional liability insurance and comply with all biosafety protocols established by the Venezuelan Ministry of Health for the handling of biological specimens.
• Submit weekly progress reports to the procurement department of Caracas BioResearch Institute, C.A., detailing completed tasks, pending analyses, and any deviations from the original research protocol.
• Ensure that all data collected, processed, and reported by the Biologist is original, reproducible, and free from conflicts of interest.
• Deliver all final reports, datasets, and physical samples to the designated receiving office in Venezuela Caracas no later than the completion date specified in the project timeline.

Payment for the services and goods outlined in this Purchase Order shall be made in accordance with the following schedule:

• 30% advance payment (USD 6,368.40) upon signed acceptance of this Purchase Order by the Biologist.
• 40% interim payment (USD 8,491.20) upon delivery and acceptance of the technical report and completion of field sampling in Venezuela Caracas.
• 30% final payment (USD 6,368.40) upon final acceptance of all deliverables, including the published article and training session evaluations.

All payments shall be processed via bank transfer to the account designated by the Biologist. The purchasing entity reserves the right to withhold payment for any deliverable that does not meet the quality standards specified in this Purchase Order. In the event of currency fluctuation, the USD-denominated amounts shall be converted to VES at the official BCV (Banco Central de Venezuela) exchange rate on the date of each payment.

1. This Purchase Order is governed by the Civil Code of the Bolivarian Republic of Venezuela and applicable commercial regulations. Any disputes arising from this Purchase Order shall be resolved through arbitration in Venezuela Caracas in accordance with the rules of the Cámara de Comercio e Industria de Caracas.
2. The Biologist warrants that all services rendered are performed with professional competence, in accordance with the standards of the Venezuelan biological sciences community, and free from intellectual property infringement.
3. Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Biologist shall be compensated for all work completed and materials procured up to the date of termination.
4. All data and intellectual property generated under this Purchase Order shall be jointly owned by the purchasing entity and the Biologist, with publication rights as specified in Item 06 above.
5. This Purchase Order becomes effective upon signature by both parties and remains valid until all obligations have been fulfilled or the expiration date stated herein has passed.
