• 3.1 This Purchase Order shall be governed by and interpreted in accordance with the laws of the Socialist Republic of Vietnam, including but not limited to the Civil Code of Vietnam and the Law on Science and Technology.
• 3.2 The Biologist shall perform all duties in full compliance with the ethical standards set forth by the Vietnam National Committee on Bioethics and the institutional review board of the purchasing entity.
• 3.3 Payment shall be made in monthly installments within fifteen (15) business days of receipt of an approved invoice. All payments shall be processed in Vietnamese Dong (VND) via bank transfer to the account designated by the Biologist.
• 3.4 The Biologist is engaged as an independent contractor and not as an employee of the Institute. The Biologist shall be responsible for all personal income tax obligations in Vietnam Ho Chi Minh City in accordance with Vietnamese tax law.
• 3.5 The Biologist shall maintain professional liability insurance with a minimum coverage of 500,000,000 VND for the entire duration of this Purchase Order.
• 3.6 All intellectual property, research data, and publications arising from work performed under this Purchase Order shall be jointly owned by the Institute and the Biologist, subject to a separate Intellectual Property Agreement to be executed prior to commencement.
• 3.7 Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for cause, the terminating party must provide a detailed written explanation of the breach.
• 3.8 The Biologist shall not subcontract any portion of the services described in this Purchase Order without prior written consent from the Institute's Procurement Director.
• 3.9 All work shall be conducted at the Institute's facility in Vietnam Ho Chi Minh City unless otherwise agreed in writing. Travel expenses for approved fieldwork shall be reimbursed at actual cost, subject to a monthly cap of 5,000,000 VND.

The Biologist shall report for duty at the Institute's laboratory in Vietnam Ho Chi Minh City no later than 08:00 AM on 1 July 2025. A comprehensive onboarding and orientation session shall be conducted during the first five (5) working days, during which the Biologist will be introduced to the Institute's research protocols, safety standards, and administrative systems. The Biologist is required to submit a detailed work plan within the first ten (10) working days of commencement, outlining deliverables, timelines, and resource requirements for the initial quarter.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. This document constitutes a binding agreement for the procurement of Biologist services as described herein, effective from the date of the last signature.
