The Biomedical Engineer shall ensure full compliance with the regulations established by the Administración Nacional de Medicamentos, Alimentos y Tecnología Médica (ANMAT) and the local health authority of the Ciudad Autónoma de Buenos Aires.

1. Scope and Location: All services under this Purchase Order shall be performed exclusively within the jurisdiction of Argentina Buenos Aires, including the Ciudad Autónoma de Buenos Aires and the surrounding Partido de Vicente López, San Isidro, and La Matanza where the Buyer's facilities are located.
2. Qualifications: The Biomedical Engineer must hold a valid degree in Ingeniería Biomédica from a university recognized by the Ministerio de Educación de la Nación Argentina, and must maintain an active professional registration (MAT) with the Municipalidad de Buenos Aires. Proof of qualifications shall be provided prior to commencement of work.
3. Regulatory Compliance: The Biomedical Engineer shall ensure that all work performed complies with ANMAT regulations, the Ley de Ejercicio Profesional (Ley 17.102), and all applicable municipal ordinances of the Ciudad de Buenos Aires. The Engineer is responsible for maintaining all necessary permits and certifications throughout the contract period.
4. Commencement and Duration: Services shall commence on July 1, 2025, and shall continue for a period of twelve (12) months, subject to renewal by mutual written agreement. The Purchase Order may be extended for an additional six (6) months upon 30 days' prior written notice.

7. Insurance and Liability: The Biomedical Engineer shall maintain professional liability insurance (seguro de responsabilidad civil profesional) with a minimum coverage of ARS 10,000,000, valid throughout the term of this Purchase Order. A certificate of insurance shall be provided to the Buyer upon request.
8. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Termination shall not affect obligations accrued prior to the effective date of termination.
9. Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Argentine Republic. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the commercial courts of the city of Buenos Aires, Argentina.
10. Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies as declared by the Nación Argentina or the Ciudad de Buenos Aires.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order.
