- Scope of Engagement: This Purchase Order authorizes the Supplier to provide the services and goods described herein. The Biomedical Engineer assigned under this Purchase Order must hold a valid CREA-DF registration and a minimum of five (5) years of professional experience in hospital biomedical engineering in Brazil Brasília or equivalent metropolitan areas.
- Performance Standards: The Biomedical Engineer shall respond to critical equipment failures within four (4) hours and to non-critical issues within twenty-four (24) hours. All work must comply with the technical standards established by ANVISA, ABNT, and IEC 60601 series applicable to biomedical equipment in Brazil Brasília.
- Payment Schedule: Payment shall be made in monthly installments of R$ 28.537,50 (one-twelfth of the total Purchase Order value) via bank transfer to the account specified by the Supplier. The first payment is due within thirty (30) days of the commencement date. All payments are subject to the Buyer's verification of satisfactory service delivery.
- Location of Services: All services under this Purchase Order shall be performed at the Hospital Universitário de Brasília, located in the Federal District of Brazil Brasília. The Biomedical Engineer shall be physically present at the facility during standard working hours (Monday to Friday, 08:00 to 17:00) and shall be available for on-call emergencies as defined in the service level agreement.
- Intellectual Property & Confidentiality: All maintenance records, risk assessments, and technical documentation produced by the Biomedical Engineer under this Purchase Order shall remain the exclusive property of the Buyer. The Supplier and the Biomedical Engineer agree to maintain strict confidentiality regarding patient data, hospital operations, and proprietary equipment configurations in Brazil Brasília.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Supplier shall ensure a minimum of fifteen (15) days transition period for the Biomedical Engineer to hand over all ongoing maintenance tasks and documentation to the Buyer or a successor provider.
- Warranty & Liability: The Supplier warrants that all calibration tools and diagnostic equipment delivered under this Purchase Order shall be free from defects for a period of twelve (12) months from the date of delivery. The Supplier assumes full liability for any damage to hospital equipment caused by negligence of the Biomedical Engineer during maintenance or calibration procedures.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of Brazil Brasília, Federal District. Any disputes arising from this Purchase Order shall be resolved through the competent judicial authorities in Brazil Brasília.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting operations in Brazil Brasília.
