This Purchase Order is issued by MedTech Solutions do Brasil Ltda. to formally request and authorize the engagement of a qualified Biomedical Engineer to provide specialized technical services at our primary facility located in Brazil, Rio de Janeiro. The Biomedical Engineer shall be responsible for the installation, calibration, preventive maintenance, and regulatory compliance of all medical and diagnostic equipment within the hospital network operating in the Rio de Janeiro metropolitan area. The scope of work encompasses the full lifecycle management of biomedical devices, ensuring adherence to ANVISA (Agência Nacional de Vigilância Sanitária) regulations and ABNT (Associação Brasileira de Normas Técnicas) standards applicable in Brazil.
The Biomedical Engineer engaged under this Purchase Order must hold a valid registration with the Conselho Federal de Engenharia e Agronomia (CREA-RJ) and possess a minimum of eight (8) years of professional experience in clinical engineering within tertiary healthcare institutions in Brazil, Rio de Janeiro, or equivalent metropolitan regions. The professional shall demonstrate proficiency in biomedical instrumentation, medical imaging systems, patient monitoring devices, surgical equipment, and laboratory analyzers.

- Scope and Location: All services described in this Purchase Order shall be performed exclusively at the MedTech Solutions do Brasil Ltda. facility located at Av. Rio Branco, 1200, Centro, Rio de Janeiro, RJ, Brazil, and at any satellite clinics within the Rio de Janeiro metropolitan area as directed by the Project Manager.
- Qualification of Biomedical Engineer: The Biomedical Engineer assigned to this contract must present a valid CREA-RJ registration, a degree in Biomedical Engineering (Engenharia Biomédica) from an accredited Brazilian institution, and proof of professional liability insurance (Seguro de Responsabilidade Profissional) with a minimum coverage of R$ 500,000.00.
- Regulatory Compliance: The Biomedical Engineer shall ensure that all work performed complies with ANVISA RDC No. 185/2001, RDC No. 751/2022, and all applicable ABNT NBR standards. The vendor shall bear full responsibility for any regulatory non-conformities arising from the services rendered under this Purchase Order.
- Confidentiality and Data Protection: The Biomedical Engineer and all personnel engaged under this Purchase Order shall comply with the Brazilian General Data Protection Law (LGPD – Lei Geral de Proteção de Dados, Lei nº 13.709/2018) and shall sign a Non-Disclosure Agreement (NDA) prior to commencing any work at the Rio de Janeiro facility.
- Payment Schedule: Payment shall be made within thirty (30) calendar days from the date of invoice receipt, via bank transfer (TED/DOC) to the account specified in Section 1. Invoices must be issued in Brazilian Real (BRL) and must include the CNPJ of the vendor, the Purchase Order number (PO-2025-BME-0047), and a detailed breakdown of services rendered.
- Performance and KPIs: The Biomedical Engineer shall maintain an equipment uptime rate of no less than 97% for all critical care devices. Monthly performance reports shall be submitted to the Department of Clinical Engineering by the 5th business day of the following month.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination for cause, the terminating party shall be entitled to compensation for documented losses. All work in progress at the time of termination shall be completed and invoiced within fifteen (15) days.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by the laws of the Federative Republic of Brazil. Any disputes arising from or related to this Purchase Order shall be subject to the exclusive jurisdiction of the courts of the city of Rio de Janeiro, State of Rio de Janeiro, Brazil.
- Warranty: All corrective maintenance and calibration services performed by the Biomedical Engineer under this Purchase Order carry a minimum warranty period of ninety (90) days from the date of service completion.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, government mandates, or civil unrest affecting the Rio de Janeiro region.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a Biomedical Engineer to provide specialized clinical engineering services in Brazil, Rio de Janeiro.
