This Purchase Order is issued by MedTech Solutions Brasil Ltda. to formally engage the services of a qualified Biomedical Engineer to support the clinical engineering operations of our partner hospitals and diagnostic centers located in Brazil São Paulo. The Biomedical Engineer shall be responsible for the installation, calibration, preventive maintenance, troubleshooting, and regulatory compliance of all medical devices and biomedical equipment across our network of facilities in the São Paulo metropolitan region. This Purchase Order governs the scope, deliverables, compensation, and contractual obligations associated with the engagement of the Biomedical Engineer for the duration specified herein.
The Biomedical Engineer engaged under this Purchase Order shall perform the following duties and responsibilities within the operational boundaries of Brazil São Paulo:

- Engagement Period: This Purchase Order covers a contract period of twelve (12) months commencing on 01 July 2025 and concluding on 30 June 2026, unless renewed in writing by both parties. The Biomedical Engineer shall be physically present at the designated facilities in Brazil São Paulo during standard business hours (Monday to Friday, 08:00 to 18:00 BRT).
- Qualifications: The Biomedical Engineer must hold a recognized degree in Biomedical Engineering (Engenharia Biomédica) from an accredited institution in Brazil, possess a valid CREA (Conselho Regional de Engenharia e Agronomia) registration, and demonstrate a minimum of five (5) years of professional experience in clinical biomedical engineering within the São Paulo healthcare sector.
- Payment Terms: Payment shall be made in monthly installments via bank transfer (TED/DOC) to the account designated by the supplier. Invoices must be submitted by the 5th business day of each month for services rendered in the preceding month. Payment is due within fifteen (15) calendar days of invoice receipt. Late payments shall accrue interest at the rate of 1% per month plus SELIC, in accordance with Brazilian commercial law.
- Regulatory Compliance: The Biomedical Engineer shall ensure that all medical device maintenance, calibration, and repair activities comply with ANVISA (Agência Nacional de Vigilância Sanitária) regulations, RDC 183/2001, and all applicable state and municipal health authority requirements specific to Brazil São Paulo.
- Confidentiality: The Biomedical Engineer shall maintain strict confidentiality regarding all patient data, proprietary medical device information, and operational procedures encountered during the course of service in Brazil São Paulo. A Non-Disclosure Agreement (NDA) is attached as Annex A to this Purchase Order.
- Insurance and Liability: The supplier shall maintain professional liability insurance (Seguro de Responsabilidade Profissional) with a minimum coverage of R$ 500,000.00 per occurrence, valid throughout the contract period in Brazil São Paulo.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of material breach, termination may be effected with seven (7) days notice. Upon termination, the Biomedical Engineer shall complete all in-progress maintenance tasks and deliver a comprehensive handover report.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of the city of São Paulo, State of São Paulo, Brazil.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, government mandates, or civil unrest affecting the Brazil São Paulo region.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Biomedical Engineer in Brazil São Paulo. This document constitutes a binding commercial agreement between the parties.
