- Scope of Work: This Purchase Order authorizes MedTech Solutions Canada Inc. to supply all equipment, materials, and professional services as described in the line items above for the Biomedical Engineer department of Centre Hospitalier Universitaire de Montréal. All work shall be performed in accordance with applicable Canadian federal and Quebec provincial regulations governing medical devices and biomedical engineering practice.
- Payment Terms: Net 45 days from the date of invoice receipt. Payment shall be made via electronic funds transfer (EFT) to the vendor's designated bank account in Canada. A 1.5% monthly late-payment interest rate shall apply to overdue balances in compliance with the Quebec Civil Code.
- Warranty: All hardware and equipment delivered under this Purchase Order shall carry a minimum 24-month manufacturer's warranty. The Biomedical Engineer team at CHUM shall be provided with full technical documentation, user manuals in both English and French, and access to the vendor's technical support hotline for the duration of the warranty period.
- Compliance: The vendor warrants that all medical devices and components supplied comply with the Canadian Medical Devices Regulations (CMDR) administered by Health Canada, as well as all applicable standards set by the Bureau de normalisation du Québec (BNQ). The Biomedical Engineer responsible for acceptance testing shall verify compliance prior to final payment.
- Delivery: All items shall be delivered to the specified address in Canada Montreal, Building C, Floor 3, during regular business hours (08:00–16:00 EST). The vendor shall coordinate with the Biomedical Engineer on-site to ensure proper unloading, installation, and initial configuration. Risk of loss transfers to the purchaser upon signed delivery receipt.
- Intellectual Property: Any custom designs, prototypes, or research outputs developed by the Biomedical Engineer team using equipment procured under this Purchase Order shall remain the property of Centre Hospitalier Universitaire de Montréal, Montreal, Canada.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the vendor shall be compensated for work completed and non-cancellable commitments incurred up to the date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any disputes shall be resolved through arbitration in Montreal, Quebec, Canada.
- Confidentiality: The vendor acknowledges that access to hospital systems, patient data infrastructure, and proprietary Biomedical Engineer protocols in Canada Montreal constitutes confidential information. All personnel assigned to this contract shall sign a non-disclosure agreement prior to commencing work.
