Terms and Conditions
  1. This Purchase Order (PO-2025-BME-00472) constitutes a binding agreement between MedTech Solutions Group Inc. (hereinafter "the Buyer") and Advanced Biomedical Consulting Ltd. (hereinafter "the Vendor") for the provision of Biomedical Engineer professional services and associated equipment as described in the line items above.
  2. All services referenced in this Purchase Order shall be performed by a qualified Biomedical Engineer who is a registered Professional Engineer (P.Eng.) in good standing with the Professional Engineers Ontario (PEO) and who holds a valid membership with the Canadian Association of Biomedical Engineers (CABME). The Vendor shall provide proof of licensure and insurance prior to commencement of work.
  3. All work, deliveries, and on-site activities under this Purchase Order shall take place at the Buyer's facility located in Canada Toronto, specifically at 1200 Bay Street, Toronto, Ontario, Canada M5G 2A9, unless otherwise specified in the individual line items. The Biomedical Engineer and any supporting personnel must comply with all site safety protocols, access control procedures, and confidentiality agreements in effect at the Canada Toronto premises.
  4. The Vendor shall comply with all applicable federal and provincial regulations of Canada, including but not limited to the Food and Drugs Act, the Medical Devices Regulations (SOR/98-282), the Ontario Occupational Health and Safety Act, and all municipal bylaws applicable to the City of Toronto.
  5. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice from the Vendor. Invoices must reference this Purchase Order number (PO-2025-BME-00472) and be submitted to the accounts payable department at MedTech Solutions Group Inc., Toronto, Canada. Late payments shall accrue interest at the rate of 1.5% per month as permitted under the Ontario Prompt Payment and Dispute Resolution Act.
  6. The Vendor warrants that all Biomedical Engineer services shall be performed in a professional, workmanlike manner consistent with the standards of practice established by PEO and CABME. All equipment supplied under this Purchase Order shall be new, free from defects, and accompanied by all manufacturer warranties, calibration certificates, and user documentation.
  7. Confidentiality: The Biomedical Engineer and all personnel engaged under this Purchase Order shall treat all proprietary information, patient data, research findings, and trade secrets of MedTech Solutions Group Inc. as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
  8. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered and equipment delivered up to the date of termination. The Vendor shall return all proprietary materials and documentation belonging to the Buyer.
  9. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Canada Toronto in accordance with the rules of the Ontario Arbitration Association. If mediation is unsuccessful, the matter shall be referred to binding arbitration under the Arbitration Act, 1991 (Ontario). The governing law of this Purchase Order shall be the laws of the Province of Ontario and the federal laws of Canada applicable therein.
  10. This Purchase Order is subject to the Buyer's standard terms and conditions of procurement, which are incorporated herein by reference. In the event of any conflict between these terms and the Vendor's standard terms, the terms of this Purchase Order shall prevail.
