The Biomedical Engineer shall operate under the technical supervision of the Clinical Engineering Department and must hold a valid professional license issued by the Colegio de Ingenieros de Chile (CIC) and the Superintendencia de Salud.

• 4.1 This Purchase Order is governed by the Civil Code of the Republic of Chile and applicable commercial regulations. Any disputes arising from this Purchase Order shall be resolved in the competent courts of Santiago, Chile.
• 4.2 The Biomedical Engineer engaged under this Purchase Order must maintain professional liability insurance with a minimum coverage of CLP 500,000,000, valid throughout the duration of the contract in Chile Santiago.
• 4.3 All deliverables, technical reports, calibration certificates, and compliance documentation produced by the Biomedical Engineer shall be submitted in both Spanish and English, in digital (PDF) and physical format, within five (5) business days of completion.
• 4.4 The vendor shall comply with all data protection requirements established under Chilean Law No. 19.628 on the Protection of Private Life, particularly regarding patient data encountered during device servicing in Chile Santiago hospitals.
• 4.5 Payment shall be made via electronic bank transfer (SPEI) to the account specified in Section 1, within thirty (30) calendar days from the date of receipt of a valid Factura Electrónica (Electronic Invoice) registered with the Servicio de Impuestos Internos (SII) of Chile.
• 4.6 The Biomedical Engineer shall adhere to the safety protocols and biosafety guidelines established by each receiving facility in Chile Santiago. Personal protective equipment (PPE) is the responsibility of the vendor.
• 4.7 Any modification to the scope, quantities, or timeline of this Purchase Order must be executed through a written addendum signed by both parties. Verbal agreements are not binding.
• 4.8 The vendor warrants that all equipment supplied under this Purchase Order is new, free of defects, and complies with the applicable Chilean technical standards (NCh) and international standards (IEC 60601, ISO 13485, IEC 62304).
• 4.9 Late delivery or failure to meet the performance milestones outlined in the attached technical annex shall incur a penalty of 0.5% of the affected line item value per business day of delay, capped at 10% of the total Purchase Order value.
• 4.10 This Purchase Order does not constitute a guarantee of future business. MedTech Solutions Chile SpA reserves the right to terminate this Purchase Order with thirty (30) days written notice in the event of material breach by the vendor.

All physical equipment and materials referenced in this Purchase Order shall be delivered to the receiving address specified in Section 2, located in Chile Santiago, no later than August 15, 2025. The Biomedical Engineer's on-site services shall commence on July 1, 2025, and continue through December 31, 2025, in accordance with the project schedule. Acceptance of services and equipment shall be confirmed in writing by the Receiving Contact within ten (10) business days of delivery or completion. Failure to issue a written rejection within this period shall constitute deemed acceptance.
