This Purchase Order is issued by Beijing Capital Medical Technology Institute for the procurement of specialized professional services rendered by a qualified Biomedical Engineer to be deployed and operated within the China Beijing metropolitan area. The engagement of the Biomedical Engineer is intended to support the design, calibration, maintenance, and regulatory compliance of advanced medical imaging systems, patient monitoring devices, and surgical robotics platforms currently installed across three (3) affiliated hospital campuses in China Beijing.
The Biomedical Engineer shall operate under the direct supervision of the Buyer's Clinical Engineering Department and shall comply with all applicable national and municipal regulations governing medical device engineering in the People's Republic of China, including but not limited to the Medical Device Supervision and Administration Regulations (MDSR) and the Beijing Municipal Health Commission operational guidelines.

All amounts are quoted in Chinese Yuan (CNY / RMB). Applicable Value Added Tax (VAT) at 6% for professional services shall be added to the total, bringing the grand total to CNY 1,011,240.00.
- Commencement: The Biomedical Engineer shall report for duty at the designated China Beijing facility no later than 1 July 2025. A written commencement confirmation must be provided to the Buyer at least ten (10) business days prior to this date.
- Qualification Requirements: The Biomedical Engineer assigned under this Purchase Order must hold a minimum of a Master's degree in Biomedical Engineering or an equivalent discipline recognized by the Ministry of Education of the People's Republic of China. A valid Chinese professional practice license for biomedical engineering (where applicable) and a current first-aid certification are mandatory.
- Work Location: All services shall be performed primarily at the Buyer's facilities located in Haidian District, China Beijing. Travel to secondary sites within the China Beijing municipal boundary is included in the contract scope. Any travel outside China Beijing requires prior written approval from the Buyer.
- Payment Terms: Payment shall be made in monthly installments within thirty (30) calendar days of receipt of a valid invoice. Payment shall be processed via bank transfer to the Seller's designated account in China Beijing. Late payments shall accrue interest at 0.05% per day.
- Confidentiality: The Biomedical Engineer shall execute a Non-Disclosure Agreement (NDA) prior to commencing work. All patient data, proprietary equipment schematics, and institutional research data encountered during the engagement in China Beijing are strictly confidential and subject to the Personal Information Protection Law (PIPL) of the People's Republic of China.
- Intellectual Property: All work product, designs, reports, and documentation created by the Biomedical Engineer in the course of fulfilling this Purchase Order shall be the sole property of the Buyer, Beijing Capital Medical Technology Institute.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, termination may be effected with seven (7) days' notice. Upon termination, the Seller shall deliver all completed work product and documentation to the Buyer within five (5) business days.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising hereunder shall be resolved through arbitration at the Beijing Arbitration Commission (BAC) in China Beijing.
- Insurance: The Seller shall maintain professional liability insurance with a minimum coverage of CNY 5,000,000 for the duration of this Purchase Order, naming the Buyer as an additional insured party.
- Compliance: The Biomedical Engineer shall adhere to all safety standards set by the China National Medical Products Administration (NMPA) and the Beijing Municipal Commission of Health and Family Planning throughout the engagement period.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Biomedical Engineer in China Beijing. This document constitutes a binding agreement effective upon the last signature.
