- 30% advance payment (CNY 162,000.00) due within 10 business days of mutual signature of this Purchase Order.
- 40% milestone payment (CNY 216,000.00) payable upon successful completion of Phase 1 (system architecture) and Phase 2 (biocompatibility testing), subject to written acceptance by the Buyer's Quality Assurance team.
- 20% regulatory payment (CNY 108,000.00) payable upon NMPA registration certificate issuance for the device in China Guangzhou.
- 10% final payment (CNY 54,000.00) payable upon completion of all on-site installations and acceptance at the three pilot hospitals.
- All payments shall be made via bank transfer to the account specified in Section 2. Invoices must reference this Purchase Order number (PO-2025-GZ-04782).
The Biomedical Engineer shall commence work no later than 1 July 2025 and shall deliver all project milestones in accordance with the timeline set forth in the attached Statement of Work (Annex A). All on-site work in China Guangzhou shall be conducted during standard business hours (08:30–17:30, Monday through Friday) unless otherwise agreed in writing. The Biomedical Engineer shall provide a written progress report to the Buyer every two weeks.
- This Purchase Order is governed by the Civil Code of the People's Republic of China and applicable medical device regulations issued by the NMPA.
- The Biomedical Engineer warrants that all deliverables shall comply with current Chinese national standards (GB), industry standards (YY), and any applicable IEC standards recognized in China Guangzhou.
- Intellectual property developed specifically for the Buyer under this Purchase Order shall vest in Guangzhou Advanced Medical Systems Co., Ltd. upon full payment. Pre-existing IP of the Biomedical Engineer remains the property of the Biomedical Engineer.
- The Biomedical Engineer shall maintain professional liability insurance with a minimum coverage of CNY 2,000,000 for the duration of the engagement.
- Confidentiality: Both parties agree to treat all technical data, patient information, and business information exchanged under this Purchase Order as strictly confidential for a period of five (5) years from the date of final delivery.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the termination date.
- Disputes arising from this Purchase Order shall be resolved through arbitration by the China International Economic and Trade Arbitration Commission (CIETAC) in Guangzhou, China Guangzhou.
- This Purchase Order constitutes the entire agreement between the parties regarding the engagement of the Biomedical Engineer and supersedes all prior negotiations, representations, or agreements.
